Postoupení pohledávky v rozporu se smluvním zákazem Abstrakt Cílem této rigorózní práce s názvem "Postoupení pohledávky v rozporu se smluvním zákazem" je zodpovězení několika klíčových otázek účinků a následků porušení smluvního zákazu postoupení pohledávky v platném českém právním řádu. Konkrétně je zkoumáno, jaké účinky vyvolává sjednaný smluvní zákaz postoupení pohledávky v platném českém právním řádu, tedy zda působí erga omnes nebo pouze inter partes. Dále je zkoumáno, jaké následky spojuje platný český právní řád s porušením smluvního zákazu postoupení pohledávky a zda umožňuje platný český právní řád diferenciaci následků dle okolností případu. Na všechny tyto kontroverzní otázky se snaží tato rigorózní práce nalézt odpověď. Při hledání odpovědí se přitom vypořádává s celou řadou v odborných kruzích již vyslovených názorů, a stejně tak se vypořádává s některými zahraničními teoriemi. První kapitola je věnována historické analýze vývoje chápání pohledávky a její převoditelnosti s důrazem na římské právo. Nejprve je v této kapitole zkoumána povaha pohledávky a možnosti dispozice s pohledávkou od římského práva po moderní soukromoprávní kodifikace. To je významné zejména pro vypořádání se s teoriemi, které odpověď na účinky smluvního zákazu postoupení pohledávky hledají ve vlastnosti/povaze pohledávky.... Assignment of receivable in breach of the anti-assignment clause Abstract The goal of this rigorous thesis entitled "Assignment of receivable in breach of the anti-assignment clause" is to answer several key questions relating to the effects and consequences of breaching the anti-assignment clause under the current Czech law. In particular, it is examining the effects of the agreed anti-assignment clause under the current Czech law, i.e. whether it has erga omnes or merely inter partes effects. Furthermore, it is analyzing the consequences of breaching the anti-assignment clause under the current Czech law and whether the current Czech law allows differentiation of the consequences according to the circumstances of the case. This rigorous thesis seeks to answer all these controversial questions. In search for the answers, this work deals with a number of opinions already expressed in professional circles, as well as with some foreign theories. The first chapter is devoted to a historical analysis of the development of understanding of the receivable and its transferability, with an emphasis on Roman law.
