v českém jazyce Tato rigorózní práce se zaměřuje na problematiku vytváření a rozhodování statutárních a kontrolních orgánů státních podniků a akciových společností s majetkovou účastí státu. Jejím obecným cílem je rozbor způsobů, jakými právní úprava reaguje (nebo by měla reagovat) na důsledky hlavních specifik vyplývajících z povahy státu jako subjektu práva pro vytváření a rozhodování statutárních a kontrolních orgánů. Ve vztahu k tématu této práce jsou těmito specifiky zejména využívání diskutovaných subjektů k dosahování určitých cílů státu a vyšší intenzita problému oddělení vlastnictví od řízení (tzv. principal-agent problém). Práce ve svém úvodu definuje a popisuje zmíněná specifika, včetně důsledků, k nimž vedou. Na základě tohoto vymezení se pak ve vztahu k vytváření orgánů věnuje autor analýze možných variant právní úpravy tzv. nominačního procesu do statutárních a kontrolních orgánů, tedy procesu, jehož výstupem je určení osoby, která se následně na základě volby či jmenování stane členem příslušného orgánu akciové společnosti či státního podniku. Práce v této části rozebírá zejména i) existující řešení v podobě Vládního výboru pro personální nominace, ii) čtyři navrhované varianty právní úpravy, a iii) nejproblematičtější otázky s nominačním procesem související. Pokud jde o rozhodování... v anglickém jazyce This thesis focuses on the topic of creation of and decision-making by the statutory and controlling bodies of state-owned entities. Its main goal is to analyze the methods by which the law responds (or should respond) to the consequences resulting from the nature of the state as a legal entity for the creation of and the decision-making processes by the relevant bodies. With respect to the topic of this thesis, these specifics include the use of the state- owned entities to achieve certain public goals and the greater significance of the so- called principal agent problem (i.e., the separation of ownership and governance problem). The thesis starts by definitions and descriptions of the above-mentioned specifics, including the consequences these lead to. On the basis of such introduction, the author then analyzes the possible ways to regulate the nomination processes with respect to the statutory and controlling bodies. The nomination process is a process the outcome of which is the determination of the person to be elected or appointed into the respective body of the state-owned entity.
