Abstrakt: [cze][eng] Třicet let sporů o nařízení o SE a výslednou podobu evropské společnosti poutalo značnou odbornou pozornost a potenciál. V přijetí nařízení vkládala evropská odborná i podnikatelská veřejnost nemalé naděje. Realita po sedmi letech účinnosti nařízení zůstává daleko za původními očekáváními. Potvrdilo se, že počty evropských společností založených v jednotlivých členských státech do značné míry souvisejí s mírou publicity, které se této formě podnikání v těchto státech dostalo, a tím i s úrovní obecného povědomí, do něhož evropská společnost vešla v podnikatelských kruzích těchto zemí. Nikoliv náhodou vzniklo nejvíce evropských společností v České republice a v Německu. Odborné prostředí v těchto státech problematiku evropské společnosti od počátku intenzivně sledovalo, rozebíralo a předkládalo uživatelské veřejnosti. Českou republiku může těšit, že právě její rejstříkové soudy registrují těchto společností zdaleka nejvíc v Evropské unii. Nepochybně to souvisí i s komerční nabídkou této formy společnosti na trhu. Prvenství České republiky poněkud oslabuje skutečnost, že mnohé z evropských společností existujících na jejím území prozatím nevyvíjejí žádnou činnost a teprve čekají na své investory a na svou budoucnost. Situace v sousedním Německu je v tomto směru lepší. Mnohé z tamních evropských...Thirty years of disputes concerning the SE-Regulation and the final compromise regarding the structure of the European company have engaged much expert attention and potential. The European public, both academic and business, have had great hopes for the European company. The reality after seven years from the entry into force of the SE-Regulation remains far behind these expectations. The legal praxis has confirmed that the numbers of existing European companies established in the various Member States largely correspond to the amount of publicity, which the European company has been given, and thus the level of general awareness of the European company amongst the business circles in the respective countries. It is not a mere coincidence that the majority of the existing European companies have been established in the Czech Republic and in Germany. The academic environment in both Member States has from the outset intensely followed, analysed and presented the European company to its potential economic users and beneficiaries. The Czech Republic may be flattered by the fact that it is home to the by far largest number of all European companies EU- wide.
