Forced termination of minority shareholders' participation in a joint-stock company
Hladík, Vlastimil ; Štenglová, Ivanka (referee) ; Čech, Petr (advisor)
Forced Termination of Minority Shareholders' Participation in a Joint Stock Company The diploma thesis deals with legal regulation of a phenomenon generally known as squeeze-out, introduction of which into the Czech legal order is still by many regarded highly controversial. The respective legal institute is subject to analysis from the standpoint of its economic determination. The thesis itself is divided into three chapters: the first chapter provides an economic basis for permitting squeeze-out as a legitimate means of increasing efficiency of a joint-stock company. In brief the reasons can be characterized as extra expenditures originating in the presence of minority shareholders in the company, some of which have the nature of opportunity costs. However, the thesis further shows that the minority shareholders are not economically motivated to transfer their shares on the majority shareholder, mainly due to the free-rider problem. Squeeze-out then represents an efficient means of rationalizing the relations among shareholders within a joint stock company. The second chapter is devoted to constitutional protection of property and its relation to forced cession of minority shareholders' shares in case of squeeze-out. The European Court of Justice as well as the Czech Constitutional Court held in...

Slowly rotating sources around static black holes
Čížek, Pavel ; Semerák, Oldřich (advisor) ; Ledvinka, Tomáš (referee)
In this thesis we study the possibility of perturbative solution of the Einstein equations in the case of stationary and axially symmetric metric. The method is motivated by the pursuit of describing the astrophysically important system of a black hole surrounded by a thin disc or a ring. A Schwarzschild black hole is thus considered as a central source, with a light and/or slowly rotating disc around. We show that the metric can be found in terms of perturbative expansions in relative disc mass or in inverted distance from the hole, and point out where problems occur. The approach can be applied to a disc "given in advance" as well as in the "self-consistent" case when the disc elements orbit on circular geodesics in the desired total eld. It can also be generalised to the discs composed of more dust components.

Working with prisoners and the formation of standardized programs
Bajcura, Lubomír ; Šotolová, Eva (advisor) ; Sochůrek, Jan (referee) ; Černíková, Vratislava (referee)
In the year 2007 for the Prison Service of the Czech Republic the new treatment program for offenders of commercially motivated sexual abuse of children became preferred. Community is very focused on this area of criminality. In 2007 there were 1 205 of abuse of children. Getting over the long-standing taboo has criminological consequences, which has been confirmed by records on sexual abuse and maltreatment in personal files of dangerous offenders. Therefore, special treatment with offenders of sexual abuse of children represents part of the fight against the most serious criminality and contributes to protection to the most vulnerable members of our community. Commercially motivated sexual abuse of children has been frequently accomplished through a third person that uses pressure or violence on a child. That is why offenders deny their guilt before both the community and their own conscience. The standardized program should guide an offender towards recognition of reasons and consequences of his/her criminal activities. The research part of this thesis concentrates on how the program is perceived by both the offenders and the realization team. The huge potential of the educational part of the program, where facts and theoretical information on the specific criminal activities play the formative role, was...

The course of execution proceedings
Jelínková, Petra ; Žák, Květoslav (advisor) ; Spirit, Michal (referee)
The thesis deals with a very actual issue of execution, from the beginning to the end of proceedings, which monitors and analyzes each individual stage. Discusses the legal rules execution, execution modes, specifies the notion of the party and also addresses every single stage of the execution proceedings separately and in detail. It also deals with the rights of debtors and the frequent problems associated with the course of the execution proceedings, and shows the real life situation from the perspective of a party, whether in the role of the debtor himself, debtor spouse or roommate. The aim is to clarify the basic rights of debtor during the execution proceedings and demarcate negotiations of executors. Furthermore, my goal is to evaluate the current legal status of execution proceedings under the Enforcement Regulations, focusing in particular on its shortcomings and difficulties and also to ascertain whether the rights of debtors are sufficient. The motivation for the treatment of this issue for me is the large media coverage of the topic, his ignorance of the citizens and also a major financial illiteracy of the nation, which each year brings more problems to individuals and families.

One-Sided Random Context Grammars
Zemek, Petr ; Černá, Ivana (referee) ; Doc. In.g Petr Sosík, Dr. (referee) ; Meduna, Alexandr (advisor)
První část uvádí motivaci za zavedením jednostranných gramatik s nahodilým kontextem a umisťuje materiál pokrytý v této práci do vědeckého kontextu. Poté dává přehled základů teorie formálních jazyků a některých méně známých oblastí, jejichž znalost je nutná pro pochopení studovaného tématu. Druhá část tvoří jádro práce. Formálně definuje jednostranné gramatiky s nahodilým kontextem a studuje je z mnoha pohledů. Mezi studovaná témata patří generativní síla, vztah k jiným typům gramatik, redukce, normální formy, nejlevější derivace, zobecněné a LL verze těchto gramatiky. Třetí část této práce zakončuje diskusi několika poznámkami. Mezi ně patří poznámky týkající se aplikovatelnosti zavedených gramatik v praxi, bibliografie a otevřených problémů.

The application of universal jurisdiction in Spain
Skrbková, Tereza ; Trávníčková, Zuzana (advisor) ; Kochan, Jan (referee)
This thesis is dedicated to the topic of universal jurisdiction, although this theme is not well-known in the Czech Republic, abroad it has more attention. The universal jurisdiction is the jurisdiction based solely on the nature of crime regardless of place where the crime has been committed, of perpetrator and victim. The universal jurisdiction is used on the most serious crimes with the aim of prevention of impunity. First, the thesis is focused on the explanation and the categorization of the term of universal jurisdiction and its historical development. The second chapter introduces the legislation of universal jurisdiction in Spain. The last two chapters deal with the analysis of cases when Spain has used the universal jurisdiction and the evaluation of possible motives, which led to the application of universal jurisdiction.
