Barbora Čapinská Abstract for dissertation thesis Challenging hegemony: coercion, repression, and protest in liberal democracies Year of defence: 2022 Abstract: This dissertation project identifies and classifies the types of coercive and repressive methods liberal democratic states use to prevent, resist, or suppress protest via analysis of secondary literature from several disparate academic fields. Despite the substantial fragmentation of the relevant research, it systematizes and clarifies the terminology used to describe these phenomena and combines the extant findings from all relevant research strands. Above all, the project stresses the fact that repressions are employed in response to a threat posed by the challengers, but the degree of this threat, or respectively legitimacy of the protest, is influenced or even constructed by the mass media coverage of protest and social movements. By endorsing a discourse-theoretical prism and the concept of hegemony, a relational definition of state, and a three-dimensional view of power, the author proposes to view protest and repression as a hegemonic struggle, in which protest is a counter-hegemonic discourse and the state an embodiment of hegemony suppressing challenges. Zusammenfassung: Ausschluss von Minderheiten (Zwangsübergang von Beteiligungswertpapieren) Diese Arbeit befasst sich mit dem Recht auf einen nachträglichen Ausgleich bei dem Zwangsübergang von Beteiligungswertpapieren, das eine der Grundvoraussetzungen der Verfassungsmäßigkeit des Ausschlusses von Minderheiten darstellt. Die gerichtliche Nachprüfung der den verdrängten Inhabern bezahlten Abfindung sowie der Ablauf der Bezahlung des nachträglichen Ausgleichs werden in dem Text der Arbeit ausführlich erörtert. Ziel dieser Arbeit ist es, die umstrittenen und unklaren Bestimmungen der wirksamen Regelung des Rechts auf einen nachträglichen Ausgleich aufzuzeigen, mögliche Auslegungen solcher Bestimmungen darzulegen und aus diesen die geeignetste Auslegung zu wählen. Diese Auslegung wird dann mit den zur Regelung des Ausschlusses im Handelsgesetzbuch verfassten Schlussfolgerungen der Rechtsprechung verglichen um zu beurteilen, ob diese Schlussfolgerungen der Rechtsprechung auch nach dem 01. 01. 2014 weiterhin gelten. In dieser Arbeit wird die Bedeutung des Rechts auf einen nachträglichen Ausgleich sowie die allgemeinen Aspekte der Geltendmachung dieses Rechts erklärt. Secondary Defensive Mechanisms in Psychoanalysis

Analysis of the secondary defensive mechanisms, considering psychoanalytic theories of a intrapsychic conflict, is the goal of this thesis. The thesis focuses on contemporary approaches and concepts to secondary defensive mechanisms with theoretical and observational point of view. Repression is considered to be the basis of the secondary defensive mechanisms. Afterwards the thesis focuses on work of Sigmund Freud with respect to his articulation of defense, repression and defensive mechanism in accordance with psychoanalytic theory of conflict, changing over time. Anna Freud and revision of structural model by Charles Brenner are also mentioned. The emphasis is put on conflicts of oedipal period with respect to research project. Afterwards the thesis focuses on attempts to experimentally demonstrate repression considering defects. The research project is the replication and relates to repression of incestuous story concerning grammar school students. The ethological study in a selected lemur species

Ring-tailed lemur (Lemur catta) lives in the south and southwest of Madagascar. It is species of an half-ape which is frugivorous and folivorous. They make up multi-male and multi-female social group where dominate females above males. The work have taken place in Zoo Jihlava since May to November 2009. Observation have been always three hours morning and three hours afternoon in random choice days independently on weather and only in interior lemur-run. It was used the method of the direct observation. Observation was focused on mutual expulsion of individuals and on displays which have connection with expulsion like submissive vocalism and falling back. It was observed some grooming, contact, game and food in-take. The main aim of this work was number evaluation of expulsion and evaluate the influence of expulsion on the time spending by food in-take, contact, grooming and game. By the observation was found that in the Zoo Jihlava expulsion individuals spend about 1,88 pc time of in-take, about 3,5 pc time of contact, about 3,09 pc of grooming less but then about 0,24 pc of game more. Two years old female called Matylda separated the others at full fart and the most expulsion individual was twelve years old male called Pepa.

Stock markets regulation - chosen regulations impact on stock market

The thesis is focused on state interventions and regulation on field of stock exchanges. On special examples I show for and against argumentation of real precautions. I repeal the questions of public konvenience of these precautions. In the first part of the thesis I begin with historical genesis of exchange especially in our area including the origin -- private or state. The first part continue with theoretical functions of stock exchange and its fulfilment in case of The Stock Exchange in Prague. In the second part I present dilemma of squeeze-out or expropriation of minority shareholders.There will be arguments of proposers, opponents and also neutral arbiter representing by The Constitutional Court of the Czech Republic. In the third part of the thesis I present an example of foreign regulation. It is Sarbanes-Oxley Act with its impact on different entities. In conclusion I propose some changes and I want to give a support to discussion about state admission to regulation of stock markets.

Právo výkupu účastnických cenných papírů v české právní úpravě

Diplomová práce Právo výkupu účastnických cenných papírů v české právní úpravě je zaměřena na analýzu procesu vytlačení v té formě, kdy je zachována původní společnost a zbývající účastnické cenné papíry nabývá většinový akcionář. V první části je obsaženo obecné vymezení předpokladů předmětného institutu. Následuje kapitola věnována relevantní právní úpravě na komunitární úrovni. Těžiště práce tvoří rozbor právní úpravy práva výkupu v pojetí českého obchodního zákoníku. Čtvrtá část pojednává o ústavněprávních a ekonomických aspektech zkoumaného institutu. Cílem práce je primárně podrobná analýza české právní úpravy práva výkupu. Obsaženo je také srovnání se zahraniční právní úpravou.
