Agreement to make a contract (pactum de contrahendo)

The purpose of this Master's degree thesis is to deal with preparatory institute of private contractual law pactum de contrahendo. This institute passed through to contemporary legislative conception long progress, currently it is in Czech Republic simultaneously regulated in two codes and at the present time performed re-codification of the Czech private law is in submission of the new Czech Civil Code its explicit regulation also contained. The thesis focuses on preliminary agreement being concluded according to valid Czech Civil Code, on its purpose, utilization and function. The thesis characterises its subjects, subject- matter, content and the process between entering into the preliminary agreement and the future agreement. In several cases the thesis provides with alternative approaches to a particular issue, presents judicial opinions of legal experts and pursues case law. The thesis also describes the development of regulation of agreement to make a contract in the context of Czech law within the range, which was appropriate to the subject, the thesis refers to similar legal institutes and compares current valid parallel regulation of preliminary agreements among themselves and with newly suggested regulation with the aim to find advantages and disadvantages of particular regulation....

1 Abstract Transfer of ownership of flats from the cooperatives to its members The aim of this thesis is to analyze the legislative regulation of transfers of ownership of flats from housing cooperatives to their members. This is a hot topic, since there are still many members who have not yet settled legal claims against the housing cooperatives. Attention is paid to the legislation contained in the Act on ownership of flats. In addition, legal regulation in the Transformation Act is mentioned, which introduced legislation on transfer of ownership from housing cooperative to its members. Individual provisions of the Commercial Code, which relates to housing cooperatives legislation, are also being analyzed. The thesis consists of four chapters. The first chapter discusses the formation and development of housing cooperatives, explains its basic principles and mainly characterizes concepts of former housing cooperatives. This introductory chapter also defines the basic terms of the housing cooperatives, such as a cooperative housing and cooperative apartment. The second chapter is interpretation of the contemporary legislation on transfer of ownership of cooperative units. CONTRACT ON A FUTURE CONTRACT IN COMMERCIAL RELATIONS UDNER THE LAWS OF THE CZECH REPUBLIC AND OF ENGLAND AND WALES The aim of this rigorosum thesis was to describe the current statutory provisions relating to an agreement on future agreement according to the Act. No. 513/1991 Coll., the Commercial Code of the Czech Republic, as amended, to distinguish its provisions in comparison with the provisions on agreement on future agreement according to Act no. 40/1964 Coll., the Civil Code, as amended, and from the act no. 89/2012 Coll. the proposed new comprehensive Civil Code, as amended to point to certain areas of legislation which are not sufficiently clear, to provide suggestions for dealing with them, and to compare them to the current law in England and Wales regulating similar institutes under the Common law, such as for example an option, or a forward agreement.
