Legal aspects of due diligence in the context of selling business

This thesis aims to judge the serviceability of the Angloamerican institutes of due diligence in the context of the European continental legal system, specifically in the context of the Czech legal system, in connection with selling business. The first part defines the term due diligence, describes the evolution of due diligence during time, distinguishes its different meanings and shows the content of the term. Furthermore, it introduces its division and particular types. The following parts deal with the legal regulation of the Purchase of Business Agreement and its essential procedural requirements. In the conclusion, the possible problems on which it is appropriate to focus on are mentioned.

The third chapter explains due diligence in practice and the fourth chapter analyses benefits and risks of M&A.

Factors affecting M&A failures in the Czech republic

The purpose of this thesis is to investigate merger failure rate and critical success factors that lie behind outcome of mergers. Based on many influential papers and studies it has been identified that mergers and M&A in general have high failure rate. After the literature research in M&A definition, history and studies already conducted in this field the own research is employed in order to achieve the main objective of this thesis. The quantitative research is conducted on mergers con-ducted from 2007 to 2010 in the Czech Republic. The qualitative analysis consists of semi-structured interviews with experts in M&A field.

The goal of this thesis is to create a basic overview that describes the main activities of the M&A process and areas that should be of interest to the buyer during due diligence, and on the other hand, what the buyer can expect from the due diligence. This thesis defines the role and importance of due diligence for the successful completion of the M&A process. Describes the due diligence method not only as a tool to detect inconsistencies in the target, but also looks into the possibilities of using due diligence to create an integration plan.

The acquisition process of the private healthcare facility Clinicum, Inc.

This Bachelor's thesis focuses primarily on the analysis of a each step of the acquisition process with regard to the health field. In the theoretical part the readers learn about the reasons and conditions leading to the successful acquisition as well as about the model of the acquisition project in general. The next parts analyze the specifics of health, including relationships with health insurance companies, which play a significant role in this sector. The practical part uses knowledge gained in the theoretical part and applies them to the acquisition of the real company Clinicum, Inc. owning a private healthcare facility.

In my bachelor's work I concerned with problem of employee's cere. First part is about teoretical knowledge about care, in practikal part these knowledges I tried to apply for company OVB Allfinanz, a.s., where I explored situation about worker's care. On the basis of these knowledges I named weaknesses of employment policy and suggestioned my own decision.

Příručka pro tvorbu due diligence včetně praktického příkladu. Due diligence znamená "hloubkovou prověrku" podniku v souvislosti s transakcí s tímto podnikem. Zadavatelem bývá většinou kupující. Cílem je získat co nejvíce informací o budoucím předmětu koupě, odhalit rizika, která s touto transakcí mohou vzniknout a stanovit, zda požadovaná kupní cena odpovídá stavu podniku. Nejčastějšími druhy due diligence jsou finanční, daňové, právní, personální a technické due diligence. Na zprávu due diligence obvykle navazuje jednání o kupní ceně a koupě podniku či jeho části.
