Identifying Value in Mergers and Acquisitions
Neue, Julia ; Mařík, Miloš (advisor) ; Poborský, František (referee)
The thesis is aiming to analyze the method of value creation in mergers and acquisitions. The introductory chapter includes a general classification and framework for terms like value; synergies; and basic valuation models. The following chapter introduces valuation models which are more oriented towards shareholder value, generally speaking, frameworks introduced by Value Based Management: Economic Value Added, Economic Profit or Cash Value Added. Economic Value Added is described through three adjusted EVA models in the next chapter: (1) The impact of MVA on the negotiation position of parties in M&A, (2) EVA Style of Investing model, which is applied as a screening tool for value creators, (3) EVA Momentum model. In the closing chapter all three models are applied and conclusions and recommendations are drawn. The three models enable us for example to identify industries worth investing in or to understand how specific companies create value and how to set up an optimal price negotiation strategy.
Valuation of the enterprise ZAPA beton a.s.
Zapletal, Tomáš ; Kislingerová, Eva (advisor) ; Kotáb, Jiří (referee)
The aim of this Master's thesis was to find out enterprise value dated 1.1. 2011, characterise risk connected with this value, for example as a variability of possible results and to judge how the enterprise was affected by the economic crises. I used method discounted cash flow in variant FCFF to calculate enterprise value. I used regression analysis as the basic method to predict the most significant value generator, sales, then I adjusted the results according to the predictions published in qualitative studies of the Czech building industry. The demand for enterprise production was reduced as a result of the economic crises; it enforced production reduction and led to decline in sales and profit in years 2009 and 2010, deteriorating of rentability indicators and long-term assets turnover. I found out the enterprise value with the help of software Crystal Ball also by the stochastic model. In this case I regarded the factors influencing the enterprise value as random quantities. Variability of the possible results ranges between upper and lower limit, i.e. between 1,8 and 3,2 billion crowns.

SOMROVÁ, Jana
The quality of nursing care is becoming an increasingly important concept in contemporary nursing. The most effective means of achieving quality of nursing care and the means of proof is the accreditation of medical facilities. It is a significant appreciation of professionalism, the work of health professionals and an important signal for the patients. Quality of care, security of supply and preventing potential risks for health care priority. The main aim of the thesis "The influence of accreditation on quality of care in selected health facilities" was to map the set of quality management and impact monitoring and evaluation of quality indicators in hospitals accredited by the Czech Republic. To determine whether accreditation has become an instrument to ensure comparable quality, and time has changed from an unpopular instrument into an instrument for continuous quality improvement. The survey took place from November 2010 to March 2011 in the form of quantitative data collection using an anonymous questionnaire survey in selected hospitals accredited by the Czech Republic. In the research study were asked managers of nursing care, main, upper station and sisters. The thesis has been established 6 goals. The first objective was to determine what indicators of quality nursing care in accredited hospitals pursue. Interested in us as quality indicators that were studied before accreditation, and quality indicators to setting up medical facilities in preparation for accreditation. The second objective was determine how frequently watched indicator of quality is monitored in hospital. Merits of selected natural resource and its region development influence
VOŘÍŠKOVÁ, Alena
The topic of this thesis is the value of a selected natural resource and its influence on the region{\crq}s development. This thesis has been divided in two parts. The first part is theoretical and it defines natural resources and their evaluation. The theoretical part is concluded by information about regional politics and development. The practical part of this thesis consists of two areas. In the first one, I characterize South Bohemian region as well as Lipno reservoir. In the second one, I deal with the land prices in Lipno area and compare them to the land prices in the area around Orlik reservoir. The amount of the prices indicates differences in holiday resort values of these reservoirs and their contribution to the region{\crq}s development. The main goal of this work is to analyze, on the basis of natural resources{\crq} evaluation, the relationship between the natural resource value and economic development of the selected area of the South Bohemian region. Another significant goal is an elaboration of a survey of methods used in natural resources{\crq} evaluation, from the perspective of nonmarketable resources{\crq} evaluation as well as evaluation of any inmovable object that satisfies people{\crq}s needs. An important aim of the practical part of this thesis is a land price analysis of Lipno reservoir area. The last goal I have proposed to me is to compare the land prices around Lipno reservoir to those of Orlik reservoir. The value of an natural resource can be expressed in different ways, for example, in how much people, who use that holiday resort, esteem it. Considering the topic of my thesis, I have chosen an evaluation according to land prices. If a natural resource is valuable, then its value will be reflected in people{\crq}s willingness to pay for the possibility of living in its nearness. This is also obvious with Lipno reservoir, as the land prices there are much higher than the land prices in any other holiday resort situated near a water reservoir. Nevertheless, even here we can still find places, that have not been fully developped yet and which offer possibities of exploitation. Considering the above-mentioned findings and examples, it is obvious that Lipno water reservoir not only provides the South Bohemian region with incomes from tourisms but it also has a movable value of an ascending tendency. Despite its invaried long-time exploitation potential, its holiday resort function has caused recently, that Lipno area is being valued more and more. This tendency is reflected in the increasing prices of building estates near the reservoir, which indicates people{\crq}s willingness to pay more and more for a valuable holiday resource.
