Transfer of the Seat of the Company within the European Union

Subject of this thesis are contemporaneous possibilities for companies to transfer their seat outside the state of incorporation. Recently, there has been a dramatic development in private law as well as in national company laws, mainly because of the judgements of the Court of Justice of the European Union. Corporate mobility comprises the possibility to transfer a company from one state to another. Crucial issue is the transfer of the seat of the company in connection with the freedom of establishment. The Court had already given rulings on the transfer of company's seat in several judgments; however, this thesis concerns particularly the latest judgment - Cartesio. In this case the Court dealt with the question whether the freedom of establishment governed by the European law shall be interpreted broad enough to include the right of companies to transfer their real seat (their head office) or their legal and real seats (their registered seat and head office) from one member state of the EU to another. The key question is, whether the Cartesio judgment contributed to the corporate mobility and if so, the scope of such contribution. Freedom of Establishment of Companies in European Law

States have traditionally dealt with foreign companies on their territory within their private international law. The arrival of European law and enactment of freedom of establishment though considerably constrained capabilities of member states, whereas companies gained the right of establishment. The aim of this thesis is characterization and specification of the relationship between the freedom of establishment, member states and companies incorporated under laws of member states. The main focus of this thesis is analysis of ten most important cases by the Court of Justice of the European Union concerning the freedom of establishment of companies, which significantly transformed mentioned relationship. Subsequently the thesis summarizes the conclusions of analyzed cases by subject of evolution of primary and secondary freedom of establishment, standing of pseudoforeign companies, conformity with incorporation theory and real seat theory and lastly ways of statutory and/or real seat transfer. The main contribution of the thesis is the very detailed case law analysis, including the newest case Vale from July 12th 2012, and also the case law classification by object.

The use of legal form of "limited company" for business in Germany

This thesis is aimed at the description of the development of the European business law, with regard to the blending of two different legal systems under the European integration, and certain modest assessment of the results. It brings at the same time description of two foreign forms of companies with limited liability, private company limited by shares and Gesellschaft mit beschränkter Haftung, comparison and evaluation of these forms for conducting business in German market and subsequent outline of suitable application and use of private company limited by shares, that can be applied not just in Germany, but in the other member states including Czech republic as well.

Transfer of registered office in EU law

This final thesis deals with the issue of transfer of registered office within the EU law. The thesis follows three lines of legal regulations: harmonization of company law, rule-making in the field of European companies and case-law dealing with primary freedom of establishment. The goal of the thesis is to sum up possibilities of the transfer of registered office assured by current legal situation to both companies established according to intrastate legislation and European forms of companies. The thesis also deals with prospects of possible future development.

Capital corporations in French law and the possibility of their cross-border mergers with companies formed in accordance with Czech law

Práce pojednává o právní úpravě přeshraničních fúzí v evropském, českém a francouzském právu. V případě evropské úpravy se autor zaměřuje na základy přeshraničních fúzí v primárním a sekundárním právu, rovněž zmiňuje stěžejní judikáty ESD týkající se svobody usazování včetně rozhodnutí ve věci Sevic z roku 2005. Dále autor analyzuje českou právní úpravu obsaženou v zákoně č. 125/2008 Sb. o přeměnách obchodních společností a družstev. Ve třetí části je srovnána navrhovaná francouzská právní úprava přeshraničních fúzí s českou úpravou. V příloze je stručně pojednáno o komanditní společnosti na akcie a zjednodušené akciové společnosti, tedy o formách společností, které se budou moci účastnit přeshraničních fúzí a které česká praxe nezná.

Právní úprava obchodních společností v komunitárním právu

Práce se zabývá právní úpravou obchodních společností v rámci komunitárního práva. Cílem je přinést ucelený přehled jejích pramenů, cílů a metod přibližování právních řádů členských států. Těmito metodami jsou harmonizační tendence prováděná prostřednictvím směrnic, unifikace nových nadnárodních forem podnikání a institut vzájemného uznávání společností. Důraz je kladen i na historii práva společností, jeho budoucí vývoj a rozsudky Evropského soudního dvora. Nechybí ani nastínění procesu transformace komunitárního práva do národních právních řádů některých členských států.

Transfer of the company's seat in EU

Tématem této diplomové práce je přesun sídla právnických osob v rámci Společenství. Cílem bylo zmapovat současnou komunitární úpravu společností a zjistit do jaké míry je v současné době možné, aby společnosti mohly přemístit své zapsané sídlo z jednoho členského státu do jiného bez nutnosti svého předchozího zrušení a likvidace. Stejně tak se věnuje dosavadní judikatuře ESD ohledně svobody usazování, která právní úpravu společností významným způsobem dotváří.
