Selected economic and legal aspects of mergers and acquisitions in the Czech Republic Abstract The aim of this diploma thesis is to describe selected economic and legal aspects of mergers and acquisitions and assess them. In the first part, the diploma thesis focuses on defining the terms of mergers and acquisitions and their classification. Forms of mergers and acquisitions are distinguished and their types based on market position of participating companies are explained. In the second part, the diploma thesis describes motives leading to mergers and acquisitions. The main motive is synergy, a phenomenon of increasing the value of participating companies by merging them. Furthermore, the waves in which mergers and acquisitions were emerging are listed, including the seventh wave which peaked last year. The third part of the diploma thesis focuses on mergers and acquisitions on the Czech market. At first the comparison within the region is provided and afterwards the thesis deals with development over time, mix of industries and largest transactions of last years. Czech Republic is one of the most active countries in the region from the perspective of value of transactions. Due managerial care in acquisitions in the Czech Republic and the Federal Republic of Germany

The thesis contributes to the ongoing discussion pertaining the concept of due managerial care and the business judgment rule in Czech law and aims to explore the aforementioned in the context of acquisition transactions, in the context of purchase of a business share or an enterprise (or a part of an enterprise) as the issue of acquisition transactions, despite its substantial practical impact, remain largely out of scientific focus. Specifically, the thesis explores the possibility of articulation of the standard of due managerial care for the purpose of acquisition transaction and, if such articulation is possible, its specific features. In its exploration, the thesis focuses on articulation of the above standard in the context of availability of information regarding the target company or enterprise, which commonly takes form of a due diligence. The author aims to define the above standard upon comparison of Czech concept of due managerial care and business judgment rule with its German counterparts. Mergers and Acquisitions in the Czech Financial Sector

The aim of this thesis is a description of the development of a company through acquisitions and mergers. The work is divided into two parts, the first part describes the M&A concepts, their types, properties and motives that lead companies to be merged. At the same time the theoretical part describes the course of the pre-acquisition analysis, valuation in the acquisition process and audit of financial statement. The second part focuses on the real cases of mergers and acquisitions, which took place in recent years. The aim of this section is to determine whether the mergers and acquisitions have accomplished its mission, according to the financial results, and profitability and market position of the company have improved.

Economic and legal aspects of mergers and acquisitions in the Czech environment

Mergers and acquisitions represent a complex process of buyout of one company by another one and a subsequent process of reciprocal merge of companies to one successive company. It constitutes in a common business experience a frequently used tool designated to ensure a company growth and to reach a main entrepreneur goal - profit maximization. This effect may be achieved due to the fact that mergers and acquisitions facilitate to enter new markets easily to some extend or to gain access to new product line or to access new technology or know how and finally to improve competitiveness by attaining sufficient size of entrepreneurship or by implementation of economies of scale. To execute such transactions successfully and to maximize all positive effects, one has to take into account several various economic and legal aspects. This transaction is also very complicated and comprises many partial steps emerging from both legal requirements and requirements based on common business experience. On that account the transaction represents also array of risks that have to be minimized. Assessing the Synergistic Effects of the Selected Consolidated Entity

This diploma thesis is aimed at assessing the existence of synergistic effects of the selected consolidated entities in the Czech Republic. Using specific financial metrics, the objective of this thesis is to identify the synergistic effects which occur among five consolidated entities operating in the area of property. Measurement and evaluation are performed pursuant to analysis of financial statements as well as qualitative data and are supposed to lead to assessing the existence of synergy in given sphere of national economy.
