Limity autonomie vůle v adhezních smlouvách Abstrakt Adhezní smlouvy představují klíčový nástroj obchodního styku, který umožňuje efektivní uzavírání smluv díky standardizovaným podmínkám a úsporám transakčních nákladů. Tyto smlouvy, charakterizované absencí individuálního vyjednávání o základních podmínkách, jsou široce používány v mnoha odvětví. Na druhé straně je s adhezní kontraktací spojeno významné riziko v podobě omezené autonomie vůle adherující strany, která je nucena akceptovat předložené podmínky bez možnosti úprav. To může vést k nerovnováze práv a povinností mezi smluvními stranami, přičemž smlouvy často zvýhodňují stranu předkládající. Práce si klade za cíl analyzovat, zda adhezní smlouvy v praxi vykazují nerovnováhu ve prospěch předkládající strany. Teoretická část se zaměřuje na historický vývoj, právní rámec a hlavní výhody i úskalí adhezních smluv. Právní úprava, zahrnutá v ustanoveních § 1798-1801 občanského zákoníku, je kriticky zhodnocena včetně diskuse nad klíčovými pojmy, jako jsou "základní podmínky" smlouvy. Praktická část se soustředí na analýzu obchodních podmínek čtyř vybraných společností. Jednotlivá ustanovení obchodních podmínek byla rozdělena do tří kategorií: ustanovení shodná se zákonem, ustanovení odchylující se od zákonné úpravy a ustanovení řešící otázky zákonem... Limits to the autonomy of the will in contracts of adhesion Abstract Adhesion contracts are a key business tool that enables efficient contracting through standardised terms and conditions and transaction cost savings. These contracts, characterised by the absence of individual negotiation of basic terms, are widely used in many industries. On the other hand, adhesion contracting entails a significant risk in the form of limited autonomy of the will of the adhering party, which is forced to accept the terms presented without the possibility of modification. This can lead to an imbalance of rights and obligations between the parties, with contracts often favouring the submitting party. This paper aims to analyse whether adhesion contracts in practice show an imbalance in favour of the submitting party. The theoretical part focuses on the historical development, the legal framework and the main advantages and pitfalls of adhesion contracts. The legal framework, included in the provisions of § 1798-1801 of the Civil Code, is critically assessed, including a discussion of key concepts such as the 'essential terms' of the contract.
