Podnikatelská rozhodnutí členů volených orgánů a pravidlo podnikatelského úsudku z hlediska recentní judikatury v České republice a Spolkové republice Německo Abstrakt Práce se věnuje podnikatelským rozhodnutím členů volených orgánů se zaměřením na statutární orgány společnosti s ručením omezeným a akciové společnosti. Zkoumá je ve světle pravidla podnikatelského úsudku. Diplomant si pokládá otázky, jakým způsobem musí členové volených orgánů činit svá podnikatelská rozhodnutí, aby byli chráněni proti odpovědnosti za újmu způsobenou jejich následky, a zda je současná zákonná úprava pravidla podnikatelského úsudku dostačující, nebo zda by byla potřeba novelizace. K zodpovězení těchto otázek diplomant provedl analýzu zákonné úpravy pravidla podnikatelského úsudku, a hlavně judikatury českých a německý nejvyšších soudů. Německo si diplomant zvolil z důvodu, že jeho zákonná úprava i soudní rozhodnutí německého Spolkového soudního dvora sloužila jako inspirační zdroj pro české zákonodárce i soudce Nejvyššího soudu. Práce komparativně srovnává tyto dva přístupy. Členové volených orgánů musí zakládat svůj úsudek na dostatečných informačních zdrojích a ve prospěch společnosti, aby byli chráněni při svých rozhodnutích proti negativním následkům. Business decisions of members of elected bodies and the business judgment rule from the perspective of recent case law in the Czech Republic and Federal Republic of Germany Abstract The thesis focuses on business decisions of members of elected bodies with a focus on statutory bodies of limited liability companies and joint stock companies. It examines them in the perspective of the business judgment rule. The author asks the questions how members of elected bodies must make their business decisions in order to be protected against liability for damage caused by their consequences, and whether the current statutory regulation of the business judgment rule is sufficient or whether an amendment would be needed. In order to answer these questions, the author analyzed the statutory regulation of the business judgment rule and, in particular, the case law of the Czech and German supreme courts. Germany was chosen by the author because its statutory regulation and judicial decisions of the German Federal Court of Justice served as a source of inspiration for Czech legislators and Supreme Court judges.
