Tato diplomová práce se zabývá pravidly pro hybridní nesoulady, která vznikla jako součást iniciativy OECD Inclusive Framework on Base Erosion and Profit Shifting a jejich implementací do právního řádu České republiky. V prvé řadě je věnována pozornost mezinárodnímu kontextu boje proti agresivnímu daňovému plánování a jsou popsány jednotlivé způsoby jeho omezování. Zároveň jsou vymezeny některé jejich nedostatky. Pravidla pro hybridní nesoulady jsou nejdříve popsána v podobě, jak byla navržena v rámci konečné zprávy OECD Neutralising the Effects of Hybrid Mismatch Arrangements z roku 2015. Detailně je věnován prostor obecným podmínkám uplatnění pravidel, a poté kategoriím hybridních finančních nástrojů a hybridních entit. V závěru této kapitoly je formulována kritika pravidel vztahující se jednak ke zvolenému konceptu linking rules, která mnoho autorů nepovažuje za ideální řešení, a jednak k procesu tvorby doporučení, v němž byly identifikovány některé nedostatky, především ve vztahu k účasti slabších států. Další kapitola je věnována implementaci pravidel na úrovni Evropské unie, která proběhla v rámci přijetí nové Směrnice Rady č. 2016/1164 ze dne 12. července 2016, kterou se stanoví pravidla proti praktikám vyhýbání se daňovým povinnostem, které mají přímý vliv na fungování vnitřního trhu (ATAD)... 1 Abstract This thesis deals with the rules for hybrid mismatches, which were developed as part of the OECD Inclusive Framework on Base Erosion and Profit Shifting and their implementation into the Czech legal system. First of all, attention is paid to the international context of the fight against aggressive tax planning and the various ways to deal with it. At the same time, some of the shortcomings of these methods are identified. The rules for hybrid mismatches are first described as they were proposed by the final OECD report Neutralising the Effects of Hybrid Mismatch Arrangements completed in 2015. Individually addressed are the general conditions of application of the rules, and then the categories of hybrid financial instruments and hybrid entities. The last section is devoted to a critique of the rules relating both to the chosen concept of linking rules, which many authors consider to be less than ideal, and to the process of developing the recommendations, in which some shortcomings have been identified, particularly in relation to the participation of less developed states.
