Vlivná osoba Abstrakt Tato diplomová práce se zabývá postavením vlivné osoby a právními důsledky, které zákon č. 90/2012 Sb., o obchodních společnostech a družstvech (zákon o obchodních korporacích) spojuje s naplněním skutkové podstaty ovlivnění a plynou nejenom vlivné osobě, ale i osobě ovlivněné, jejím společníkům, členům statutárního orgánu a věřitelům ovlivněné osoby. Diplomová práce je členěna do tří kapitol. První kapitola práce uvádí důvody sdružování společností do podnikatelských seskupení a zároveň vysvětluje odlišnosti ovlivnění od ovládání a koncernu. Předmětem druhé kapitoly je rozbor jednotlivých znaků skutkové podstaty ovlivnění. Následně tato kapitola odpovídá na otázku, koho lze považovat za vlivnou osobu, kdo jí být nemůže a koho může vlivná osoba ovlivnit. Ve třetí kapitole, které je v diplomové práci věnováno nejvíce prostoru, jsou zkoumány nejvýznamnější právní důsledky ovlivnění mající přímý dopad na práva a povinnosti vlivné osoby. Jedná se především o povinnost vlivné osoby nahradit újmu způsobenou ovlivněním a podmínky pro její zproštění, dále o použití pravidel o střetu zájmů a ustanovení týkajících se vyloučení člena statutárního orgánu obchodní korporace z výkonu na vlivnou osobu. Rovněž se tato kapitola zabývá ochranou společníků a věřitelů ovlivněné obchodní korporace. Cílem... Influential person Abstract This diploma thesis deals with the status of an influential person and the legal consequences the act No. 90/2012 Coll., on Commercial Companies and Cooperatives (Business Corporations Act) associates with the fulfillment of the subject matter of interference and applies not only to the influential person but also to the influenced person, its shareholders, members of the board of directors and creditors of the influenced person. The diploma thesis is divided into three chapters. The first chapter presents the reasons for associating companies into business groups and explains differences of interference from the control and concern. The second chapter analyzes particular elements of subject matter of interference. Subsequently, this chapter answers the question of who can be considered as an influential person, who cannot be an influential person and whom the influential person can interference. The third chapter, which is given the most space in the diploma thesis, examines the most significant legal consequences of interference having direct impact on the rights and obligatios of the influential person.
