Předkládaná diplomová práce s názvem "Konkurenční doložky v M&A transakcích z hlediska soutěžního práva" si klade za cíl analyzovat obsah a problematiku sjednávání konkurenčních doložek s důrazem na zasazení do kontextu M&A transakcí a důvody jejich uzavírání. Hlavním přínosem práce je pak poskytnutí uceleného přehledu podmínek platnosti konkurenčních doložek, při jejichž dodržení je možné považovat konkurenční doložku sjednanou mezi smluvními stranami příslušné M&A transakce za odůvodněnou a přiměřenou a s minimálním rizikem případného vyslovení neplatnosti takové doložky a dále také poskytnutí praktického pohledu na problematiku jejich sjednávání na základě analýzy reprezentativního vzorku uskutečněných transakcí. V kapitole první se nejdříve krátce věnuji obecnému vymezení pojmu konkurence, resp. hospodářská soutěž a následně samotnému pojmu konkurenční doložky, jejímu vlivu na hospodářskou soutěž a kde se s ní můžeme v praxi setkat. Druhá kapitola se zabývá shrnutí nejdůležitější evropské a české právní úpravy konkurenčních doložek a soft-law Komise. V kapitole tři se zabývám pojmem M&A transakce, důvody jejich uskutečňování a jejich děleními. Ve druhé části této kapitoly je pak nastíněn vzájemný vztah mezi M&A transakcemi a konkurenčními doložkami a standardní obsah těchto doložek v... The presented thesis with a title "Non-competition clauses in M&A transactions from the perspective of Competition Law" aims to comprehensively analyse the content and the question of conclusion of non-competition clauses with emphasis on the context of M&A transactions and the reasons for their conclusion. The main contribution of this thesis is to provide a comprehensive overview of the conditions of validity of non-competition clauses when these are observed, it is possible to consider the non-competition clause as agreed between the parties of the relevant M&A transaction as justified and proportionate, with a minimum risk of such clause being revoked and also provide a practical perspective on the matter of their negotiation based on an analysis of a representative sample of completed transactions. In the first chapter, first, I am briefly dealing with the general definition of competition, and subsequently with the concept of non-competition clause, its impact on competition and where it can be found in practice. The second chapter deals with a summary of the most important European and Czech legal regulation on non-competition clauses and Commission soft-law.
