WGM_TRAILER ABSTRAKT A KLÍČOVÁ SLOVA: Fúze v rámci skupin společností lze schematicky roztřídit do tří základních variant: společnost fúzuje do svého společníka (up-stream fúze nebo fúze nahoru), společník- společnost fúzuje do své společnosti (down-stream fúze nebo fúze dolů), jedna společnost fúzuje do druhé společnosti, přičemž obě společnosti mají aspoň jednoho společného společníka nebo akcionáře (fúze sesterských společností). Kapitálová propojenost společností činí tyto fúze specifickými a vyžaduje speciální úpravu. Stávající právní úprava přeměn kapitálových společností má určité nedostatky, z nichž nejzávažnější je ten, že zákon o přeměnách nepamatuje na specifiku fúzí v rámci skupin společností. Výsledkem toho je, že doslovná aplikace zákona o přeměnách může vést v některých případech k poškození společníků a věřitelů zúčastněných společností a že pro změnu subsidiární aplikace obchodního zákoníku může vést k absurdní povinnosti společnosti podat návrh na zrušení společnosti při schválení projektu přeměny. Diplomová práce je věnována výhradně kapitálovým aspektům fúze. Proto pracuji s otázkami nastavení výše základního kapitálu v nástupnické společnosti a zamýšlím se nad tím, proč nelze doslova aplikovat úpravu o maximální výši základního kapitálu v nástupnické společnosti dle zákona o přeměnách.... AND KEY WORDS: Mergers within a group of companies can be divided into three basic variants: a company mergers into its shareholder (up-stream merger), a shareholder-legal entity mergers into its company (down-stream merger), a company mergers into other company given that both companies have at least shareholder in common (merger of sister companies). Capital interconnection of companies makes these mergers to be special and requires a specific regulation. The present regulation of mergers of companies has particular weak points, the gravest is the fact, that the Act on Transformations does not take into account the specifics of the mergers within a group of companies. This entails that in some cases the word-to-word application of the Act on Transformations can lead to harming of shareholders and creditors of the companies participating on the merger. In some cases it leads to an absurd duty to file an application for dissolving of the company while the general meeting is convoked to approve the project of merger. The thesis is dedicated exclusively to the capital aspects of mergers. Therefore I deal with the issues of the amount of the capital stock in the succession company pursuant to the Act on Transformations.
