Tato práce se zabývá prorogačními a rozhodčími doložkami v mezinárodním obchodě, a to se zaměřením na právní úpravu obsaženou v Nařízení Evropského parlamentu a Rady (EU) č. 1215/2012 o příslušnosti a uznávání a výkonu soudních rozhodnutí v občanských a obchodních věcech (Brusel i bis) a v Newyorské úmluvě o uznání a výkonu cizích rozhodčích nálezů. Práce si zejména klade za cíl popsat postup platného sjednání a zformování doložek, a to včetně analýzy případných výkladových problémů. Společným cílem prorogačních doložek, jako smluvních doložek o volbě soudu, a rozhodčích doložek je stanovit, kdo a kde má mít pravomoc rozhodnout případný spor stran a posílit tak jejich právní jistotu. Výsledkem práce je proto ověření hypotézy, že uzavření prorogačních nebo rozhodčích doložek opravdu posiluje právní jistotu stran. U prorogačních doložek je teoretická úroveň doplněna o praktický náhled na celou problematiku v podobě analýzy judikatury Soudního dvora Evropské unie. U rozhodčích doložek je cílem poskytnout jistý mezinárodní nadhled, nastínit obecně platné principy a poukázat na některé rozdíly v přístupech jednotlivých států. Práce se kromě úvodu a závěru člení na tři kapitoly. První kapitola představuje způsoby řešení sporů v mezinárodním obchodě a nabízí stručný srovnávací pohled na základní typy... The thesis is dealing with prorogation and arbitration clauses in international trade, focusing on Regulation (EU) No 1215/2012 of the European Parliament and of the Council of 12 December 2012 on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters (Brussels I bis) and on the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. In particular, the thesis aims to describe the procedure of valid negotiation and the formation of clauses, including the analysis of possible interpretation issues. The common objective of the prorogation clauses as a choice of court agreements and arbitration clauses, is to determine who and where should have the jurisdiction to resolve any dispute arising between the parties and to reinforce their legal certainty. The outcome of the work is therefore to verify the hypothesis that the conclusion of such clauses really strengthens the legal certainty of the parties. Regarding the prorogation clauses, the theoretical level is supplemented by a practical insight into the whole issue in the form of an analysis of the Court of Justice of the European Union case law.
