Vznik, zánik a pozastavení výkonu funkce člena orgánu kapitálové obchodní společnosti Abstrakt Tato diplomová práce se zabývá problematikou vzniku, zániku a pozastavení funkce člena orgánu kapitálové obchodní společnosti. Je soustředěna na relativně úzkém aspektu uvedeného tématu spojeném s institutem kodeterminace ve vztahu k vzniku, zániku a pozastavení výkonu funkce člena dozorčí rady akciové společnosti. Nyní účinná právní úprava obsahuje značné mezery, což způsobuje určité výkladové nejasnosti a brání řádnému využití institutu kodeterminace v praxi. Tato práce je zaměřena především na odhalení problémových bodů a na analýzu nejvýznamnějších sporných otázek stávající zákonné úpravy v oblasti kodeterminace, a snaží se o jejich komplexní vyřešení. Práce rovněž zohledňuje legislativní změny účinné od 1. ledna 2021 a hodnotí jejich případný přínos v oblasti odstranění zjištěných nedostatků. Práce je rozdělena do čtyř kapitol. První kapitola obsahuje vymezení pojmu kodeterminace a poskytuje přehled o legislativní úpravě tohoto institutu v právních řádech vybraných cizích států a na úrovni Evropské unie. Další výklad je věnován historickému vývoji právní úpravy kodeterminace v českém právu, v jehož rámci budou prezentovány zásadní sporné otázky související s rekodifikací soukromého práva a jeho následnou... Creation, termination and suspension of function of a member of a limited company body Abstract This thesis deals with the issues of creation, termination and suspension of function of a member of a limited company body and focuses on a relatively narrow aspect of the said topic related to the institute of codetermination in relation to the creation, termination and suspension of function of a member of a supervisory board of a joint stock company. Currently effective legislation contains significant gaps and it causes certain interpretation ambiguities and prevents the proper use of the institute of codetermination in practice. The present work is mainly aimed at identification of problem points and analysis of the most important controversial issues of the current legislation in the field of codetermination and aspires to their comprehensive solution. The work also takes into account the legislative changes effective from January 1, 2021 and evaluates their potential benefits regarding elimination of the identified shortcomings. The work is divided into four chapters. The first chapter contains the definition of the term codetermination and provides an overview of how this legal institution is regulated within the legal orders of selected foreign countries and at the European Union level.
