6 Souběh funkce statutárního orgánu kapitálové obchodní společnosti a pracovního poměru Abstrakt Předmětem této rigorózní práce je problematika souběhu funkce statutárního orgánu společnosti s ručením omezeným či člena statutárního orgánu akciové společnosti s pracovním poměrem, který byl dovozen judikaturou již na počátku 90. let minulého století. I přes tento zákaz jsou však v České republice souběžné pracovní poměry s výkonem funkce statutárního orgánu nebo jeho člena, tedy tzv. "souběhy", běžnou praxí. Zajišťují totiž osobám, které jsou zároveň statutárním orgánem nebo jeho členem, ochranu, která ze zákona přísluší pouze zaměstnancům. V návaznosti na aktuální judikaturu Nejvyššího soudu však ze strany odborné veřejnosti v poslední době zaznívají hlasy, že problematika souběhů je po mnoha letech konečně vyřešena. Cílem této rigorózní práce je zhodnocení, zda lze tuto problematiku považovat ve světle aktuální judikatury Nejvyššího soudu skutečně za vyřešenou či nikoliv, a jaké nové výkladové a praktické problémy tento nový výklad Nejvyššího soudu přinesl. Práce je členěna do osmi hlavních kapitol. První a druhá kapitola je věnována teoretickým východiskům a základním charakteristikám závislé práce a výkonu funkce statutárního orgánu. Ve třetí kapitole je provedena komparace těchto dvou pozic a jejich práv... 6 Simultaneous performance of function of statutory body of capital company and employment relationship Abstract The topic of this rigorosum thesis is the issue of prohibiting performance of a function of the statutory body of a capital company while simultaneously having an employment relationship with that same company, which was inferred by judicature in the early 90s of the last century. However, despite this prohibition, the simultaneous performance of function of the statutory body and employment relationship is common practice in the Czech Republic. In fact, it provides this statutory body or its member a protection, which otherwise belongs by law only to employees. However, as a follow-up to the current Supreme Court decisions, there have appeared some opinions that judicature has finally resolved this issue of simultaneous performance. So, the aim of this rigorosum thesis is to appraise whether we can consider this issue as resolved or not and what new practical problems this new Supreme Court's interpretation causes. This rigorosum thesis is divided into eight main chapters. The first one and second ones are dedicated to the theoretical basis and basic characteristics of the dependent work and the performance of a function of the statutory body.
