Právní aspekty Initial Coin Offering Abstrakt Tato práce pojednává o fenoménu Initial Coin Offering (ICO). Initial Coin Offering je proces získávání kapitálu pomocí emise kryptoměn, které současná právní literatura označuje za tokeny. Práce si klade za cíl popsat základy fungování kryptoměn, vysvětlení pojmu Initial Coin Offering a právní klasifikaci kryptoměn vydávaných v rámci ICO. Další části práce jsou věnovány porovnání Initial Coin Offering a Initial Public Offering (prvotní veřejná nabídka akcií) se zaměřením zejména na rozdíl v ekonomické motivaci. Nejprve práce popisuje základní pojmy kryptoměn jako je blockchain, peněženka a rozdíl mezi coiny a tokeny, poté je v ní obsažen popis několika fází ICO, kdy je zvýšená pozornost věnována rozdělení ICO na tzv. veřejnou fázi, na které se podílejí drobní investoři, a na fázi pre-sale určené pro velké investory. V následující části je obsažena nejdůležitější vyjádření regulatorních orgánů týkající se kryptoměn do roku 2019 se zaměřením zejména na ESMA, FINMA a SEC. Po popisu současné regulace ve světě následuje nejobsáhlejší část, která se týká právní klasifikace kryptoměn. Autor dochází k závěru, že kryptoměny jsou z pohledu českého práva nehmotné věci movité, přičemž se z pohledu českého práva nejedná o cenný papír. Soukromoprávní klasifikace kryptoměn... 1 Legal Aspects of Initial Coin Offering Abstract The thesis deals with Initial Coin Offering (ICO) phenomenon. The Initial Coin Offering is a type of funding using cryptocurrencies, which the current legal literature describes as tokens. The thesis has a goal of describing the basics of cryptocurrencies functionality, the explanation of Initial Coin Offering phenomenon and the legal classification of cryptocurrencies emitted in an ICO. The fother parts of the thesis are dedicated to the comparison of Initial Coin Offering and Initial Public Offering with a special focus on the different economic motivation behind both phenomena. In the beginning the thesis describes the cryptocurrency basics such as what is blockchain, wallet and the difference between coins and tokens. Thesis then contains the descriptions of ICO phases, with a focus on the division of ICO on two parts, the public phase in which the retail investors take part, and the pre-sale phase in which the big investors take part. The next section contains the most important declarations and notices concerning ICO and cryptocurrencies, published by the regulatory bodies with a special focus on ESMA, FINMA and SEC.
