Hlavním tématem této práce je popsat a objasnit problematiku smlouvy o výkonu funkce. V roce 2014 začala být účinná nová právní úprava Nového občanského zákoníku, konkrétně zákona 89/2012 Sb. I po nové úpravě zůstává mnoho otázek o průběhu vykonávání postavení vrcholného představitele společnosti. Cílem práce je objasnit postup při sestavování smlouvy o výkonu funkce a popsat dílčí části smlouvy o výkonu funkce. Další náplní této práce je zjistit rozdíly mezi odměňováním vrcholného manažera společnosti s klasickou pracovní smlouvou a vrcholného manažera se smlouvou o výkonu funkce. Dále pak posoudit odpovědnost vyplývající z pracovní smlouvy a smlouvy o výkonu funkce. Výzkumné šetření bude provedeno prostřednictvím dotazníků, které budou doplněny řízeným rozhovorem. Respondenti tohoto výzkumného šetření budou právnické osoby. Výstup z praktické části práce bude doplněn o tabulky, na které budou navazovat jednotlivé grafy. This work focuses on the performance contracts. In 2014 was created new legislation of the new Civil Code, namely Act No. 89/2012 Coll. Even after the new adaptation, there are still many questions concerning the performance of senior representatives in a company. The aim of the thesis is to clarify the procedure for compiling the performance contracts and to describe sub-parts of it as well as to discover the differences between the remuneration of the company's top manager having the classical employment contract and the top manager with the performance contract. Next the responsibilities arising from the employment contract are and the performance contract are assessed. The research is conducted through questionnaires which are complemented with a controlled interview. Respondents of this research are legal entities. The output from the thesis is supplemented with tables in which the individual charts are linked.
