Diplomová práce s názvem "Vyloučení a vystoupení společníka a zrušení jeho účasti ve společnosti s ručením omezeným" se zabývá analýzou vybraných právních aspektů společnosti s ručením omezeným. S ohledem na rozšíření společnosti s ručením omezeným v české podnikatelské praxi (jde o v současnosti nejrozšířenější právní formu obchodní společnosti v České republice) lze usoudit, že je nanejvýš vhodné podrobit právní úpravu společnosti s ručením omezeným důkladné právní analýze. Především však přínos takové analýzy tkví v rovině právně teoretické, a to zejména s přihlédnutím k nové rekodifikované úpravě soukromého práva, která se s účinností ode dne 1. 1. 2014 výrazně promítla i do práva obchodních společností a která s sebou přináší řadu změn a nových institutů a také s nimi souvisejících výkladových problémů a potenciálních nejasností. V uvedené souvislosti je v diplomové práci věnována pozornost dílčímu tématu zániku účasti společníka ve společnosti s ručením omezeným. V rámci tohoto tématu se diplomová práce zaměřuje na vybrané způsoby zániku účasti společníka ve společnosti s ručením omezeným, a to takové, v nichž se přímo či zprostředkovaně projevuje prvek jednostrannosti, a to ať už ve vztahu společnosti ke společníkovi, nebo ve vztahu společníka ke společnosti. Analyzovanými způsoby zániku... v anglickém jazyce The diploma thesis called "The expulsion and the withdrawal of the shareholder and the court-ordered termination of his participation in a limited liability company" deals with the analysis of the selected legal aspects of a limited liability company. Considering the extent to which the limited liability company is represented in the Czech business practice (it is at present the most prevalent form of business corporation in the Czech Republic), it is possible to assume that it is most desirable to thoroughly analyze the legal regulation of the limited liability company. However, the contribution of such analysis lies particularly in the field of legal theory, namely with regard to the new recodified legal regulation of the private law, which has had, legally effective as of January 1, 2014, a distinct impact also on the law of business corporations, and which has introduced a number of changes and new institutes and also a number of interpretation problems and potential ambiguities connected therewith. In this connection, the diploma thesis pays attention to the partial topic of the cessation of the shareholder's participation in the limited liability company.
