[cze][eng] Shrnutí Současný mezinárodní obchod je charakterizován standardizovaným přístupem k obchodním transakcím. Diplomová práce analyzuje právní otázky spojené s uzavíráním smluv na základě standardizovaných forem. První část práce je věnována vývoji standardizace v mezinárodním obchodě. Představeny jsou terminologická východiska práce, kdy jsou charakterizovány jednotlivé standardizované formy uzavírání smluv: obchodní podmínky, standardizované klauzule, boilerplate ustanovení, formulářové a vzorové smlouvy a právní návody. Druhá část sleduje samotný proces uzavírání smluv podle Úmluvy OSN o mezinárodní koupi zboží (CISG) ve srovnání s úpravou v PECL, UPICC, CESL a DCFR. Důraz je kladen na posouzení včlenění obchodních podmínek do návrhu či přijetí smlouvy. Analyzována je problematika battle of forms včetně možných řešení: pravidlo posledního výstřelu, prvního výstřelu, pravidlo knock-out i alternativní přístupy. Výklad je ilustrován četnými příklady z judikatury, které slouží také k nastínění názorových rozporů. Třetí část je věnována výkladu a kontrole obsahu obchodních podmínek. Rozebrána jsou teoretická východiska k diskuzi ohledně kontroly nepřiměřených podmínek v obchodních vztazích. Vysvětleny jsou specifické postupy, mezi které patří přednost individuálních ujednání nebo výklad contra proferentem. Závěr...Resumé: Standardized forms of concluding contracts in international trade The contemporary international trade is defined by the standardized approach to commercial transactions. The purpose of my thesis is to analyse legal issues concerning contract formation by means of standardized legal forms in international trade. Chapter One describes the development of standardization in international trade. It introduces and defines basic terminology covering standardized forms of contract formation: standard terms, standard clauses, boilerplate terms, form and model contracts and legal manuals. Chapter Two addresses the process of contract formation under the United Nations Convention on Contracts for International Sale of Goods (CISG) in comparison with the regulation in the Principles of European Contract Law (PECL), Principles of International Commercial Contracts (UNIDROIT Principles, UPICC), Draft Common Frame of Reference (DCFR) and the Proposal for a Regulation of the European Parliament and of the Council on a Common European Sales Law (CESL). The emphasis is placed on the incorporation of standard terms into a contract, i.e. into an offer or an acceptance.
