Error! Unknown document property name. Resumé Cílem této práce je představit možné způsoby přemístění (zapsaného) sídla společnosti do jiného členského státu Evropské Unie. Dále jsem se zaměřila na typické problémy, se kterými se můžeme setkat při provedení takového přemístění a stejně tak na očekávanou novou právní úpravu a možné vyhlídky v této oblasti. Jsem přesvědčena o aktuálnosti tohoto tématu a narůstající důležitosti umožnění přeshraničního stěhování společností. Práce se skládá z deseti kapitol, z nichž každá se zaměřuje na jiný aspekt přemístění sídla. První kapitola představuje úvod do problematiky a definuje základní terminologii použitou v práci spolu s důvody, kvůli kterým jsem se rozhodla zaměřit na dané téma. Ve druhé kapitole je probrán termín "osobní statut společnosti". Kapitola se skládá ze šesti částí. První část je zaměřena na sídlo právnické osoby. Druhá část zkoumá samotný termín osobního statutu. Část třetí je věnována teorii sídla, zatímco čtvrtá část opačné teorii inkorporace. Pátá část ve zkratce popisuje některé další teorie a v části šesté je obsaženo shrnutí a vlastní názor. Třetí kapitola je rozdělena do třech částí a představuje přehled relevantní české právní úpravy. První část je věnována ustanovením českého Občanského zákoníku. English summary The aim of the thesis is to present the possible ways of a relocation of a registered office of a company to other member state of the European Union. Furthermore, I tried to focus on common complication which can be faced in practical realization of such transfer, as well as on forthcoming legislation and possible perspectives which can be expected. I believe that this topic is very current and progressive and that the wish for cross-boarder movability of companies will be increasing. The thesis is composed of ten chapters, each of them dealing with different aspects of relocation of the registered office. Chapter One is introductory and defines basic terminology used in the thesis and reasons why I've devoted myself to this subject matter. Chapter Two examines the term "personal statute of a company". The chapter consists of six parts. Part One focuses on registered office of a legal entity. Part Two investigates the term personal statute itself. Part Three addresses the issue of theory of the Registered office and the Part Four the opposite theory of Incorporation.
