Cieľom diplomovej práce je špecifikácia právneho postavenia minoritných akcionárov v práve Slovenskej republiky, ktoré zákonodarca poskytol minoritným akcionárom z dôvodu, aby im zaistil možnosť presadiť svoje záujmy a uplatňovať svoje právo na podieľaní sa na riadení akciovej spoločnosti. Súčasťou práce je náhľad na akciovú spoločnosť ako takú, postavenie akcionára, jeho práv a povinností a popis situácií, v ktorých môže dôjsť k porušeniu práv minoritných akcionárov. Cílem diplomové práce je specifikace právního postavení minoritních akcionářů v právu Slovenské republiky, které jim zákonodarce poskytnul, aby jim zajistil možnost prosadit své zájmy a uplatňovat své právo na podílení se na řízení akciové společnosti. Součastí práce je náhled na akciovou společnost jako takovou, postavení akcionáře, jeho práv a povinností a popis situací, ve kterých může dojít k porušení práv menšinových akcionářů. The aim of this master thesis is to specify the legal status of minor shareholders in the law of the Slovak Republic, which has provided to minor shareholders by governemnt to give them a chance to enforce their interests and to apply their right to participation in the management of the company. Part of the work is a preview of a corporation as such, as a shareholder, its rights and responsibilities and a description of situations when rights of minority shareholders can be breached.
