Prvá kapitola popisuje koncept corporate governance, jeho právne a ekonomické aspekty a súčasný stav v Českej republike. Druhá kapitola sa zameriava na charakteristiku kapitálových obchodných spoločností, teda spoločnosti s ručením obmedzeným a akciovej spoločnosti. V tretej kapitole sú uvedené najčastejšie problémy a príklady zlyhania corporate governance. První kapitola popisuje koncept corporate governance, jeho právní a ekonomické aspekty a současný stav v České republice. Druhá kapitola se zaměřuje na charakteristiku kapitálových obchodních společností, tedy společnosti s ručením omezeným a akciové společnosti. Ve třetí kapitole jsou uvedeny nejčastější problémy a příklady selhání corporate governance. The first chapter describes corporate governance, its legal and economic aspects and current situation in the Czech Republic. The second chapter is focused on the characteristics of limited liability company and joint-stock company. The third chapter deals with problems of corporate governance and examples of corporate governance failures.
