Práce se zabývá právním postavením jednatele společnosti s ručením omezeným dle nové úpravy soukromého práva platné od 1. 1. 2014. Práce je zaměřena zejména na základní charakteristiku statutárního orgánu, způsobilost k výkonu této funkce, vznik a zánik funkce, jeho působnost a vztah jednatele a společnosti. Součástí práce je komparace právní úpravy postavení jednatele podle zákona o obchodních korporacích a nového občanského zákoníku se starou úpravou dle obchodního zákoníku. The aim of this thesis is an analysis of legal status of an agent in a Czech Limited Liability Company under the new legislation that came into force on 1 January 2014. The thesis deals with basic characteristics of an agent, his capacity to perform the post, the commencement and termination of his post, agent's authority and the relationship between agent and company. The thesis also includes a comparison of former and new legislation.
