Cílem práce je analýza právní úpravy postavení statutárních orgánů, kterou přináší nový zákon o obchodních korporacích a nový občanský zákoník. Práce je zaměřena na popis vztahu mezi obchodní korporací a členy statutárního orgánu, jejich práva, povinnosti a odpovědnost a porovnání s předchozí právní úpravou. Dalším cílem je provedení výzkumu o povědomí obchodních korporacích o změnách v legislativě týkající se především právního postavení statutárních orgánů. The topic of this bachelor thesis is aimed at the legislation of legal position of the statutory body, which brings a new civil code and a law of Business Corporations. This is a description of the relationship between business corporations and members of the statutory body, their rights, duties and responsibilities and comparison with previous legislation. The aim of the practical part is analyze awareness of business corporations of changes in legislation especially relating to the legal position of the statutory body.
