Ve své práci se věnuji zakládání a vzniku akciové společnosti. V první části je stručně charakterizován historický vývoj této formy obchodní společnosti, jsou uvedeny prameny práva, které ji upravují, jsou nastíněny charakteristické znaky akciové společnosti, poskytnuty základní informace o orgánech vytvářených akciovou společností, ale i o cenných papírech emitovaných akciovými společnostmi. V hlavní části jsem popsala rozdíl mezi založením a vznikem akciové společnosti. Důkladně jsou probrány oba způsoby založení a vysvětleny obsahové náležitosti zakladatelského dokumentu i stanov. Vylíčila jsem, kdo je oprávněn jednat jménem společnosti před jejím vznikem a jak a v jakých lhůtách se splácejí peněžité a nepeněžité vklady. V závěrečné části jsem se věnovala vzniku akciové společnosti, návrhu na zápis společnosti do obchodního rejstříku, přikládaným listinám a rejstříkovému řízení. In my bachelor's thesis I deal with the foundation and origin of a joint-stock company. In the first part a historical development of this form of a commercial company is characterized, sources of law related to joint-stock company are listed, characteristic features of a joint-stock company are outlined, essential information is provided about the organs of a joint-stock company as well as about the securities issued by joint-stock companies. In the main body of the thesis the difference between the foundation and the origin of a joint-stock company is described. Both ways of the foundation of a joint-stock company are examined in detail and the content elements of the founding document and the elements of the articles of association are explained. I clarify who is authorized to deal on behalf of the joint-stock company before its registration to the Commercial Register and what are the deadlines within which both monetary and non-monetary deposits are to be paid. The final part is dedicated to the origin of a joint-stock company, the proposal for registration to the Commercial Register, the compulsory documents that must be attached and the the registration process.
