Selected economic and legal aspects of mergers and acquisitions in the Czech Republic Abstract The aim of this diploma thesis is to describe selected economic and legal aspects of mergers and acquisitions and assess them. In the first part, the diploma thesis focuses on defining the terms of mergers and acquisitions and their classification. Forms of mergers and acquisitions are distinguished and their types based on market position of participating companies are explained. In the second part, the diploma thesis describes motives leading to mergers and acquisitions. The main motive is synergy, a phenomenon of increasing the value of participating companies by merging them. Furthermore, the waves in which mergers and acquisitions were emerging are listed, including the seventh wave which peaked last year. The third part of the diploma thesis focuses on mergers and acquisitions on the Czech market. At first the comparison within the region is provided and afterwards the thesis deals with development over time, mix of industries and largest transactions of last years. Selected aspects of sharing economy with emphasis on Airbnb and Uber Abstract This paper focuses on the legal regulation of digital platforms which are used to arrange short-term accommodation (the most popular representative is Airbnb) and passenger transport (where Uber is the best-known platform). In the introduction the author explains why he considers it inappropriate to say these platforms are part of "sharing economy", although this term is currently widely used. In addition, the author examines the benefits of Airbnb and Uber platforms in general, such as user comfort, a rating system that allows quality control of provided services, lower prices for the customer than with traditional service providers and a simple way to earn some extra money. At the same time, the author mentions negative aspects of these platforms, such as lower collection of taxes and fees, poor protection of employees and potentially also customers, or reduction of availability and quality of housing. In the next part of the paper the author focuses on each of the mentioned platforms and evaluates the regulation of these platforms, or rather service providers that use these platforms, in the light of both Czech and European case law. How to found an enterprise (legal and economic aspects) Abstract The object of this thesis is the founding of an enterprise from legal and economic viewpoint. Entrepreneurship in the Czech Republic evolved a lot since the Velvet revolution, legislatively and in the way entrepreneurs behave on the market. The Czech Republic joining the European Union had a huge impact on entrepreneurship, thanks to the harmonisation of the internal market and even through new types of companies available. The goal of this thesis is to help new entrepreneurs found an enterprise, to choose the correct legal framework and create a business plan. The focus is on saving financial and time costs. In the first part the legislature concerning enterprise in the Czech Republic is presented focusing on effective laws, despite mentioning the legislature before the civil law recodification from 2014. Enterprise, entrepreneur and companies are described in detail in the second part as the basic terms connected to founding an enterprise. The third part is concerned with the economic aspects of founding an enterprise, out of which the business plan is the most important. Lobbying: economic and legal aspects Abstract The aim of this thesis is to determine lobbying as a legitimate part of democratic processes and to propose recommendations for the regulation of lobbying in the Czech Republic. To achieve this aim, an analysis of the regulation of lobbying in the USA, EU and neighbour states, is conducted. Emphasis is also put on the analysis of regulation attempts in the Czech Republic with regard to influence of Non-Governmental Organizations. The first chapter is dedicated to a comparison of various lobbying definitions which are presenting main features and similarities across definitions. Among the main features are definitions of lobbying activity, lobbyist and public officials. The second chapter is dedicated to a comparison of government regulation and self-regulation, and the positives and negatives are assessed. The difference between lobbying and corruption is the main focus of the third chapter. Next three chapters are dedicated to the historical and legal analysis of lobbying in the USA, EU and neighbour states. The regulation of lobbying in the USA has the longest history. This thesis deals with a subject of collaboration economy and it aims at two of its representatives in particular, Airbnb and Uber. My focus targets at current status in terms of established or missing regulation and mapping of up to date trends for regulation to be developed or to be improved in contrast to what has already set. Simultaneously, there is described its functional system and familiarization with them for a potential user. At least but not last, one of the goals is to clarify why new representatives as Uber or Airbnb might be spotted controversial. It is observed that current legal status of collaborative economy does not reflect its ability to share a global market and its potential regulation from government point of view has become likely. However, politician opinions on how this regulation should look like vary. Nevertheless what may be found identical in those opinions is that there is no will collaborative economy to be repressed however, rules and limits should be clearly stated. Specifics of Anglo-Saxon and Continental corporate governance This thesis deals with the comparison of Anglo-Saxon and Continental approaches to corporate governance. Although the title of this thesis might evoke that the main theme of this thesis is a comparison of two different models of corporate governance, the basis for this work is the opposite. The author aims to make use of the compari- son of selected corporate governance issues in the various legal systems of both the Anglo-Saxon and Continental models of corporate governance to find out how sig- nificantly the current Anglo-Saxon and Continental model of corporate governance differs, whether there is a convergence or divergence between these two models and whether it makes sense to divide legal systems' approaches to corporate governance on the basis of these two models or not anymore. The importance of marketing communications for a company

The diploma thesis is focused on the marketing communication of selected political parties and movements, which participated in the election to the Chamber of Deputies of the Parliament of the Czech Republic in 2017. The thesis provides a comprehensive approach to the use of marketing communication tools of political parties and movements during election campaigns. The thesis contains a definition of marketing itself on a general level to classify marketing communication within the field and to understand the context. Subsequently it is focused on marketing communication tools, which voters had chance to see and through which the parties tried to get voters to their sides. The important aspect of composing communication tools of the election campaign is the financing, as political parties and movements have to respect legal restrictions on the political parties funding and election campaigns. These restrictions were firstly applied in the election to the Chamber of Deputies of the Parliament of the Czech Republic in 2017. The thesis describes basic limits as well as the administrative office exercising the supervision in this area. This thesis deals with the topic of civic participation in society and how participation this society develops and influences. The theoretical part is concerned with explaining the concepts, history and general knowledge that are related to participation. The grip and exploration of the region is described in the work from European, republic, district and consequently the regional context. The thesis is focused on the region Litoměřice, which is described in aspect of participation in detail. In the practical part of the thesis is the Litoměřice region studied by questionnaire survey. There are questions set and answered. With these issues is expressed effort to find out whether the value of gender, age and education tend to influence the participation rate among residents in the Litoměřice region. The detected data are processed and evaluated as a basis for presenting the conclusions.
Organization structure and activity of Probacy and Mediacy of Czech Republic in Prague with focus on activity of section Parole

In my bachelor work I'm engaged in questions regarding the probacy service and especially in subject of parole. In the work the are discussed particular parts of the service, however the main emphasis is placed on parole. The important part is also about historical roots, thanks to which we were able to reach the todays levels. And of course the need to move forward, educate and improve current systems. For the practital part of my work I have put together casuistries, which I met during my practice in Prague probacy centre. For each casuistry I'm trying to show its specifity and I'm thing over how they were figured out by the court and how the resulst have influented the clients future life. In my work I'm lininig out the part of the social worker in this sector and his role to improve the whole system. It is importnant to point out the connection with law, that means that working for probacy service is asking high profession demands. It is necessary to be well acquainted with the legal system and be professional in comunication with the client. However the most important role is to make the clients life easier in their hard times and help them to better and upstanding life.
