The purpose of the submitted diploma thesis is to describe, analyse and primarily compare the legal status of commercial banks as a specific type of joint stock company under the Act No. 21/1992 Coll., the Banking Act, as amended, and the legal status of regular join stock companies under the Act No. 90/2012 Coll., on Business Companies and Cooperatives (the Corporations Act) which are not supervised by the Czech National Bank. The diploma thesis is divided into eight chapters where each of them is dealing with a different aspect of bank's business activities. The first chapter is dedicated to a brief analysis of the term bank. The second chapter is more extensive because it provides fundamental legal characteristic of incorporation and commencement of the legal existence of both a bank and regular joint stock company. In this chapter, I also compare bank's Articles of Association to regular joint stock company's Articles of Association. Attention is also given to the concept of banking license. Third chapter may be considered as the key part of this diploma thesis because it contains analysis of the bank's organisation including a description of its specifics. The issue of so-called Chinese walls in banking industry

The purpose of this thesis is to introduce and analyse the regulatory means of the so-called Chinese walls in banking sector. This is done by examining the Czech Banking Law, but also through comparison of the mechanism of Chinese walls to alternative methods of regulation, as well as by presenting of two practical studies dedicated to Chinese walls. As mentioned, the focus is placed on Czech legislation, however, we do not omit various alternative abroad regulatory approaches used in the past or indeed planned to be passed in the nearest future. The reason for the research is our interest in banking law and this form of regulation of insider trading. The thesis is composed of Introduction, three numbered chapters and Conclusion. Each of the chapters deals with different aspects of the thesis' topic. Introduction briefly explains the different issues that are to be discussed further. In Chapter One, we firstly explain our position on what indeed is the reason the Chinese walls have been introduced to the Czech legal system. After that, we mainly concentrate on the Czech banking legislation, thoroughly analysing its numerous legal aspects. Banking regulation in the Czech Republic

The theory of bank regulation is based on several principles. The prime one percieves bank as specific subject in economy. Bank differs in pattern of its activities, structure of its assets and debts, spectrum of undergone risks, etc. Efficient regulation is achieved by establishing generally binding rules, most often legal rules. These rules define enviroment of banks' business. When evaluating legal settings in the Czech Republic, differences between the settings and theoretical solutions must be involved. Conclutions relevant to the efficiency of bank regulation system may be set on the basis of this comparision.
