Valuing a Distressed Company

The doctoral thesis deals with bankruptcy and its possible solution from the point of view of expert activities. Valuation of the company in distress may be required at different stages of the business life cycle. While sometimes the valuation is requested directly by the shareholders or the managing partners facing bankruptcy (or preventing crisis) sometimes assessment is requested in insolvency proceedings by the insolvency administrator. Whether it is the intention to find out it is more beneficial for creditors to reorganise or liquidate the assets, in all these cases it is the work of experts in the insolvency proceedings who play a decisive role. The practical part of the thesis, therefore, focuses on the selection of appropriate methodologies which can be used at any given moment of crisis management.

It describes a generic metodology for determining the value of the company and it and deals with the optimalization of the future development for the benefit of the company. The issue is applied to a specific example of practice.

The diploma thesis focuses on the determination of the market value of private medical practice for children and adolescents. The thesis consists of two parts, the theoretical and the practical. The theoretical one is devoted to literature review of business valuation issues and specifics of private medical practice management. A suitable method for its valuation is chosen. In the practical part, according to the proposed methodological procedure, the practice of a general practitioner for children and adolescents for the purpose of its sale and purchase is evaluated. The resulting valuation is carried out using the income and asset-based approach.

Company valuation

The aim of this thesis was to comprehensively describe the valuation process, emphasize the significance of each part and point out possible pitfalls. The methodological valuation theory is not regulated in the Czech Republic, with a few exceptions, thus the credibility of the final value depends on the economic quality of applied process. Before the valuation methodology itself is applied, there has to be carried out both strategic and financial analysis providing the inputs for the applied models. Strategic analysis examines both general macroeconomic conditions, which could affect future performance of the company, and relevant market the company operates on within the competitive landscape. Strategic analysis provides the inputs into subsequent financial plan, primarily based on historical financial performance of the company, and serve as its corrective. In this thesis there were analyzed yield-based and market multiples methods, complemented by asset-based approach. Yield-based methods, i.e. DCF and EVA, are based on discounted future value which will the company generate. That implicates the suitability of its application for the companies with predictable financial plan. That means mostly companies with stable financial history, in case of young innovative startup the usage of such a method...
