Economic Impacts of Winding Up a Company with Liquidation

The thesis deals with legislative aspects of the abolition of corporate insolvency and dealing with the expression of the economic consequences arising from the demise of the organization to key stakeholders (employees, state, creditors). The theoretical part deals with basic concepts related to corporate, legal forms of business characteristics, causes and forms of dissolution and its subsequent liquidation process. The practical part focuses on the company, joint stock company, which is in liquidation and the economic consequences arising from the termination of the business activities of this company for state employees and creditors of the organization.

This bachelor thesis is aimed at the transformation of the legal form of a Limited Liability Company (LLC) into a Joint Stock Company (JSC). It draws comparisons between several forms of business ownership, their advantages and disadvantages. With the change of the legal form of the business, there are certain legal steps which are needed to be processed, so that the transformation could have been done successfully. In the bachelor thesis I would like to stress out these single steps, which are needed to be done, in order to accomplish the transformational process effectively.
Members of Individual Types of Business Companies

The presented thesis with the title "Members of Individual Types of Business Companies" deals with the analysis of the legal status of companies' partners. The primary aim of the thesis is to identify and describe in detail the most fundamental aspects that define and influence the participation of members in particular forms of business companies, and, in the final consequence, the very nature of these entities. The main subject of this thesis is a member's relationship, which represents a binding line between a business company and partners as individuals. Through the examination of particular elements of this legal relationship including specific ways leading to its creation or termination within each type of the business company the differences in the legal status of subjects of these entities are determined. The issue of partners' legal status regulation is analysed from the perspective de lege lata, while in suitable cases the positive law is compared with the preceding legislation. The goal of such a comparison is to declare the evolution in the normative solution to a particular question. Comparison of corporate income tax in the Czech Republic and the USA using the C-corporation form

The aim of this thesis is to draw a comparison between the corporate income tax in the Czech Republic and in the United States. The legal status of companies in both countries is analyzed, and considering the diverse tax perspective, the different impacts of taxation on these companies are mentioned. Furthermore, the thesis is focused on the description of the corporate income tax system, which contains: basic adjustments of costs, tax calculation and tax payment process. Finally, it compares these two systems and subsequently main differences between them, among with the calculation are demonstrated by the practical example.
Comparative analysis of the Czech and French corporate law and analysis of the relevant legal terminology

The main aim of this bachelor thesis is comparative analysis of regulation of business companies in the current law of Czech Republic and France. The secondary aim is analysis of corresponding legal terminology. The work is divided into five chapters that are afterwards divided into other subchapters. The first chapter describes the development and current sources of commercial law in Czech Republic and in France. Second chapter is aimed on the basic institutes connected to constitution, running and termination of business companies in both countries. The content of third chapter is typology of business companies in current law of Czech Republic and France. Fourth chapter deals with the comparative analysis itself of the current regulations and their development in the history. Last chapter contents analysis of the corresponding French legal terminology and French-Czech glossary. The work is concluded with summary and resumé in French.
Distribution of Economic Result

The bachelor thesis dealing with the "Distribution of Economic Result" focuses in particular on the acts related to such activity. The first half deals with the activities necessary to be made before the economic result is distributed, such as the calculation of income tax and carrying it to account, accounting for deferred tax etc. The other part of this thesis is focused on the distribution of profit and compensation of loss in business companies. The conclusion of this thesis deals with the taxation of shares in profit and with the issue of double taxation in the payment of shares in profit abroad.
Advantages and disadvantages of runnig different forms of business companies

In my bechelor work I discuss different forms of business companies based on the view of law. I differentiate branches in laws of the company and try at the end to solve what is the most appropriate form for running a business.
