- Criteria for a definition of a full function joint venture in the decision-making of the Commission This thesis focuses on the progress in the Commission's approach towards full functioning joint ventures and on criteria for their determination. A full functioning joint venture is a joint venture type that fulfils criteria given by the Commission of the European Union - joint control and full functioning, that consists of functional autonomy, lasting basis and resources. The first, inductive part provides a short joint venture typology and explains ways by which the European law regulates those concentrations. The second part of the thesis serves as a necessary historic excursus to the progress in the European Union Commission's view on cooperative and concentrative concentrations and its goal is to clarify on the basis of which factors and how this approach has developed from 1968 to the present. The third, main, part of the thesis is an analysis of particular full functioning joint venture determination criteria. Greenwashing as Unfair Competition Practice Abstract: The thesis focuses on one of the major obstacles in the fight against climate change, greenwashing. Given the difficulty in defining and the diversity of this phenomenon, this thesis aims to introduce greenwashing and examine it through the lens of unfair competition law. In particular, it examines whether greenwashing can be an unfair competition act, i.e. whether it fulfils the general unfair competition clause, whether it can possibly also fulfil one of the special unfair competition acts and whether the current unfair competition legislation is sufficient or whether it would be appropriate to create a new special unfair competition act regulating greenwashing. The first chapter of the thesis focuses on competition, defines competition law and discusses the basic concepts related to competition. All of this is important in order to subsequently highlight how competition is changing in the context of environmental protection efforts and related activities and what threats it faces. This master thesis deals with the characteristics of cross-border mergers, particularly from a legal and tax perspective. The first part defines the basic concepts and legislation, which is related to the cross-border mergers. The second part deals with the analysis of cross-border mergers, in which participated Czech companies. The third part treats the selected states in terms of tax systems. From analyzed states is chosen the most profitable tax system for Czech companies considering cross-border merger.

This diploma thesis with selected marketing tools and legal regulation of unfair competition according to the Commercial code. Whole thesis is divided into two parts. Basic terms important for understanding of issue of unfair competition ac-cording to the Commercial code are analysed in theoretical part. Specifically this dis-sertation aims at selected facts of the case that are described in characterised more detailed. Furthermore, the marketing tools: advertising, guerrilla marketing and viral marketing are explained here. Practical part consists of an evaluation of chosen ad-vertising campaigns from point of view of marketing and legal. A summary of the most common mistakes in marketing communication from point of view of unfair competition and subsequent recommendation of using selected tools from the per-spective of unfair competition action is included as well.

The main topic of this bachelor thesis is an unfair competition in Czech Republic and France and an analysis of a corresponding French legal terminology. This thesis is structured into descriptive, comparative and lexical part. The descriptive part contains information about the unfair competition legislation in Czech Republic and France. The next part compares both legislations. The lexical part describes the analyses of corresponding legal terminology and their Czech equivalents. In case of non-existence of the Czech equivalents, possible translation is suggested. This part also includes the French-Czech glossary.
