Terms of delivery and payment and their influence on price in the buying contract

This diploma paper consists of 5 main parts. First part is focused on buying contract in general. Two parts which follow are dealing with two of it's important parts-terms of delivery and terms of payment. Next part is explaing the influece of terms of delivery on price and the influence of terms of payment on costs of a certain transaction. Last part is focused on the usage of both, terms of delivery and payment, demonstrated on a real company.
Sales Contract in American Law

The goal of this thesis is to discover differences in regulation of sales contracts in Anglo-American and Continental legal system. The thesis looks for and compares distinctions between regulation in Uniform Commerical Code adopted in most of the states of the USA that represents the Anglo-American System, and Louisiana Civil Code which was chosen by the author thanks to its strong link to french Code Civil as a representative of Continental System. The author analyzes differences in definition of sales contract, the process of its formation, she looks at the question of passage of title and passage of risk, furthermore she deals with rights and obligations of seller and buyer. Eventually, she summarizes the distinctions found.
Sales Contract

This essay deals with the issue of sales contracts with focus on the contracts concluded in international trade. The essay builds on the basic legislation governing the purchase contract, namely the Czech Commercial Code and the UN Convention on Contracts for the International Sale of Goods and is complemented by a range of practical knowledge. The work primarily deals with making of sales contracts and its terms and includes a chapter on delivery terms, since it is an important part of contracts in international trade and since there was a new edition of the international rules of interpretation of delivery terms Incoterms 2010.

In this graduation these is described areas, which are very important with selling ariculture technics. I theoretical part I deal with the establishment, termination and securing of obligations and further with purchase contracts, leasing, financing and grantes. After that I continue with practical part, in which I describe selected companies, I compare their purchase contracts and I investigate their accordance to business law.

By the help of filled questionaries I wanted to discover what people can imagine under the term consumer protection, where they can find informations and advices concerning this problems and what are their experiences with reclamations and also with shopping goods on the internet. I was discovering further, how they assess standard of consumer protection in Czech Republic and what can help to some improvement.

This bachelor thesis explains the terms of delivery and is devided into two parts - theoretical and practical. The first part informs about the sales agreement and in particular about the international commercial terms. The second part has been developed in cooperation with the company CZ a.s. and shows the use of the delivery terms on a concrete example of agreement.
United Nations Convention for Contracts for International Sale of Goods

The goal of this thesis is analysis of CISG significance, especially practical impacts since 1980 till present, and the analysis of selected conceptual problems of CISG, which need to be considered when CISG is applied. This thesis shall broaden very limited amount of Czech literature concerned with general practical approach to CISG in contrast to interpretation of individual articles or pure legal theory. First part briefly defines historical development of beginnings of unification and harmonisation in the area of sale of goods and further the origin of CISG. The significance of CISG in second part of the thesis is considered in relation to international trade, international law and harmonisation of legal orders in the area of civil law. Second part analysis reasons why and how is CISG so significant for these areas. The third part deals with selected conceptual problems: six official language versions, breach of art. 7 par. 1 CISG, automatic opt-out under art. 6 CISG and state reservations and their consequences.

Both elements are conceived in terms of legal framework and in terms of importance for the parties to an international sales contract. The theoretical part deals with the role of the sales contract in business relations, structure and legal norms of the international sales contract. The practical part includes an analysis of specific international sales contract.

This report elaborates on the international trade operations of Israel, particularly on the imports from Israel and their specifics. In addition, the report also describes the importance of multicultural differences between countries when dealing with an Israeli partner. This work focuses on the execution/realization of business operations with an Israeli partner from the point of view of a Czech firm/company that wants to import from Israel. Furthermore, the report describes the adequate contract terms & conditions for such buying contracts. Finally, the report analyses a case study of an already executed transaction between the JAKU Trade Company and an Israeli exporter.
