Implementation of the transfer pricing regulation of the Czech republic

This thesis was elaborated in the form of transfer pricing study and is focused on finding arm's length price for a particular Czech production company. According to the detailed description of companies under examination, analysis of their functional and risk profiles, comparable independent companies were found. The most appropriate method and indicator were chosen for calculation the transfer price. This thesis should help company under review to set up its transfer pricing system and it also should be taken into account by a tax authority in case of tax audit.
Transfer pricing: Transactional Net Margin Method and its practical application

The diploma thesis is devoted to the transfer pricing, particularly focusing on one of the transfer pricing methods: the transactional net margin method. In the theoretical part, the thesis deals with the transfer pricing legislation and demonstrates examples of how the profit transfer may occur. Further the thesis describes the transfer pricing methods and its use, mainly focusing on the transactional net margin method and its practical application. It deals with the profit level indicators and the comparability that must be followed when applying this method. In the practical part the thesis presents a Czech manufacturing company engaged in transactions with related parties. Using the functional and comparative analysis the compliance with the arm's length principle is determined.
Advance Pricing Agreements in The Czech Republic and chosen countries

This diploma thesis operates with advance pricing agreements. In the Czech Republic, advance pricing agreements were implemented in the form of binding rulings in the year 2006. The goal of the thesis was to analyze and compare binding rulings in the Czech Republic and advance pricing agreements implemented in the countries chosen, which were Germany, Slovakia and Poland, with the theoretical concept of advance pricing agreements as stated in OECD Transfer Pricing Guidelines for Multinational Enterprises and Tax Administrations.
Transfer pricing in the case law of the Supreme Administrative Court

Based on the analysis of selected decisions of The Supreme Administrative Court in the area of transfer pricing, this document aims at identifying the general interpretation principles of the law by The Supreme Administrative Court. It also provides taxpayers with guidelines how to interpret the law and act in practice. The work is divided into three parts. The first part introduces legal regulations in the Czech Republic that relate to transfer pricing. In the second part, selected decisions of The Supreme Administrative Court in the area of transfer pricing are analysed. In the third part, the identified principles are formulated.
The impact of transfer price of enterprise on the corporate tax

This thesis is focused on the sale of the enterprise between related persons. The ambition was to find out, what the tax aspects of a particural transfer of an existing company are, especially with regard to the payment of personal and corporate income tax rate. Partial aim was to determine market value of the enterprise as per January 1st 2010 for the transfer price purposes and structuring of the whole transaction with emphasis on rational tax optimalization. At first there is a valuation report elaborated with regard to the market environment. The price is set based on the DCF entity method. Consequently I work with the enterprise value analysing tax impacts. The transaction structure is chosen as setting up of a new company for leveraged buyout (SPV, s.r.o.) and subsequent merger of this company with the target company as per January 1st 2010. It was found out that the impact of the transfer price on the income tax is at this transaction minimal. In the particural structured transaction there are four kinds of tax risks. First are the rules of thin capitalization which the buyer is able to fulfil by the increase of its own capital at SPV, s.r.o. The second one is the assesment of interests on the affinitive credits according to the arm's length principle. The third one is check of costs of the acquisition credit which should be tax deductible with regard to the company merger. The last risk is the proof of accomplishment of general rules of costs (interest) tax deduction, i.e. the costs must be spent on achievement, securing and maintenance of taxable incomes. At the close of the thesis I focus on the motives of the related parties of the transaction for setting the price of the company. I assume that both parties would have tendencies to decline the enterprise value mostly because of the possibility of compensation through the gratuitous acquisition of asset which in this case in the legal environment of the Czech Republic enjoys the tax-free status.
Methods of the transfer pricing identification in practise

This work focuses on methods of the transfer pricing identification, in connection with the possibility to find comparable independent data on the market. In the first part, the author describes the basic ideas and the main legislation resources both in the Czech Republic and internationally. It also describes the main methods of the transfer pricing identification mentioned in the Transfer Pricing Guideline. Second part examines the method's application, which depends mainly on the type of the controlled transaction as well as on the comparable data availibility. Third part relates to the model case, which shows in detail the complete process of the transfer pricing identification. Each process includes the functional analysis of related parties, choosing the best possible method and the comparable analysis, which focuses on the searching out the independent comparable companies.
Thin Capitalization - The Influence of Tax Legislation on Employment of Debt Financing of Companies

The aim of this thesis is to find out the answer to the question whether the state authorities influence the employment of debt financing of companies. First part of the work briefly summarizes the main economic theories engaged in the research on capital structure. Further are depicted approaches to thin capitalization in the European countries with focus on the Czech republic tax law dealing with the subject. The final part of the thesis demonstrates on the financial data of Czech companies from the period 2003-2008 that the state authorities influence the employment of debt in Czech companies by means of tax laws and so affect the capital structure of the companies.
Analýza postupu správce daně při posuzování převodních cen mezi spojenými osobami

Cílem bakalářské práce je zjistit metody a postupy, které v současnosti využívá český správce daně při posuzování převodních cen a zanalyzovat právní podmínky pro oblast převodních cen v České republice. Práce je rozdělena na dvě hlavní části. První část se zabývá legislativou převodních cen a jejím cílem je poskytnout přehled veřejně dostupné legislativní prameny, které se vztahují na převodní ceny v podmínkách České republiky. Druhá část má za cíl analyzovat postupy správce daně při daňové kontrole v souvislosti s převodními cenami prostřednictvím konkrétního skutečného případu.
Tax aspects of business between associated enterprises -- stipulation of the method for distributive enterprise

This thesis "Tax aspects of business between associated enterprises -- stipulation of the method for distributive enterprise" considering associated enterprises and transfer pricing, as they are defined by documents of European Union, OECD and Czech Republic. It compares the definitions of associated enterprises and the arm's length principle according to OECD and the law of Czech Republic. It gives the list of methods transfer pricing which are used when making the prices for transactions between associated enterprises. These methods are divided into traditional and profitable - it depends on the kind of transaction. In the last part of this thesis on the basis of the analysis of these documents I recommend the optimal method for transfer pricing for a concrete enterprise.

Práce umožňuje čtenářům udělat si vlastní názor na roli daňových rájů ve světové ekonomice a posoudit výhody a nevýhody jejich existence.
