Legal status of a member of the limited liability company under Czech and Slovak law

This master thesis discusses legal status of a member of the limited liability company according to the Czech and Slovak legislation. The legal status is analysed mostly in terms of member's rights and obligations. Furthermore, the thesis focuses on the ways in which the status of the member originates and terminates. Each chapter starts with an analysis of the Czech legislation, which is followed by comparison with the Slovak. Finally, the legislations are evaluated including similarities and differences and remarking their advantages and disadvantages. The aim of the thesis is to verify, whether the legal status of the member is similar in both countries, since they are closely connected historically, geographically and politically.

For a complete view of main theme the part of this thesis is devoted to the basic characteristics of a limited liability company. The diploma thesis also reflects the changes in the Czech legal order and the impacts of these changes on the concept of limited liability companies and the rights and duties of theirs partners.
The Legal Status of Partners in a Private Limited Liability Company Compared to the Legal Status of Partners (shareholders) in a Joint Stock Company

This diploma thesis poses the question of the legal status of partners in a private limited liability company compared to the legal status of partners (shareholders) in a joint stock company. Although both companies are in a theory of Czech business law classified as capital corporations, which means that they have much in common, the legal enactments which are regulating the area of the partner's legal status in both legal forms contain many significant differences. Some of them may well be considered as slight, unimportant details, whereas the others represent fundamental differences, which, for the partner's legal status, are more than crucial. The partner's participation in the company's activities and in its management could be mentioned as one of the examples. Meanwhile, the partners in a private limited liability company typically participate in the whole life of their corporation, the shareholders in a joint stock company only influence the life of their corporation implicitly, through their influence over the personal structure of the executive body (called board of directors), which is entrusted with the power of the company's management. The members of this executive body are usually represented by people outside of the company; the theory talks about professional, hired management, which is leading to a phenomenon called corporate governance. This diploma thesis not only contains chapters on the legal status of partners in the given types of corporations, it also includes a general interpretation of the terms private limited liability company and joint stock company. Only a correct representation of these terms can lead to an accurate understanding of the partner's legal status. Finally, there are also several comparative thoughts and tables, including some decisions of the business courts added at the end of the paper. Through the means of the above mentioned business court's decisions the author is attempting to demonstrate how the partner's rights and obligations are being performed in practice.

In the introductory chapter there are mentioned basic characteristics of general partnership. The following chapter deals with articles of incorporation, which is the fundamental document for a general partnership. The main part of the thesis is concerned with partners and their rights and duties. The closing chapter deals with partner's interest in general partnership.

The main aim of this thesis is to provide a brief but comprehensive overview of the structure, purport and function of the bodies of corporations as well as of the relations between them in the legal system of the Czech Republic. The bodies concerned are those of a public company, special limited partnership, limited liability company, and joint stock company. Bodies of specific transnational corporations are mentioned as well, bodies of cooperatives (both national and European) are left out. Practice of the Supreme Court of the Czech Republic is mentioned too. However, regarding it's extent, this thesis does not purport to be an all inclusive material dealing with all the individual aspects of the multidimensional phenomenon of the bodies of corporations.
Legal aspects of the position of partner in the limited liability company

The diploma thesis describes the position of partner (member) in the limited liability company in the Czech Republic. First of all I analyzed the basic characteristics of the limited liability company including the historical development. Then I focused on its partners (members), I described who can become a partner, how and under what circumstances. Special attention was paid to the capital contribution and the business share. The most important part of the diploma thesis focuses on the legal aspects of partner's rights and obligations. I pointed out the advantages of being a partner (such as not being liable for the company's debts) as well as disadvantages. Various ways of leaving the company are briefly covered in the last chapter.

The object of this work is an application of accounting, tax and legal enactments to the limited liability company with the view of introducing reader to the problems and making a comprehensive survey of information advisable to know. The work contains explanation of company establishment including the initiation of book-keeping, intoduces to closing of books and to financial statements including related statutory duties, or shows operations within the equity of a company. Problems with transactions among related entities make significant part of this work.

This diploma thesis describes the position of partner (member) in a Czech limited liability company and interprets all legal aspects of his rights and obligations. The essay focuses on descriptions of one of the most favorite legal forms and its main characteristics. The aim of the essay is to outline the opportunities of this legal form and issues relating to sometimes uneasy possibilities of the entrepreneur. It points out the advantage of being not liable for the company´s debts after paying off all the members´ capital contributions and analyses the consequences of interest ownership. Moreover, the capital contribution determines the amount of rights and duties of the members that is the main object of this diploma.
