Duty od Care of Members of Statutory Bodies in Capital Business Companies and its Relation to Internal Compliance Programs

The purpose of this dissertation is to provide its readers with a detailed and comprehensive look at the institute of duty of care, business judgment rule and related civil and partly also criminal liability of members of (not only) statutory bodies of capital business companies, and in this respect also to introduce an internal compliance program as one of the main instruments of good and effective corporate governance. The main objective of this dissertation is therefore to verify or refute the hypothesis whether, and if so in what particular form, can an internal compliance program be seen as an institute helping members of statutory bodies of capital business companies in fulfilling specific requirements and obligations of their duty to carry out the statutory function with due (managerial) care. The existence (implementation) of an internal compliance program is quite commonly connected with so called regulated markets and also with individual business corporations whose ownership structure extends the boundaries of the Czech Republic (typically British or American business corporations seated in the Czech Republic). But what about a wide neutral zone of Czech business corporations, i.e. especially small and medium-sized capital business companies? Shall these implement an internal compliance program as well? And, if so, on what grounds and with what benefits?

Dopady Transatlantického obchodního a investiční partnerství na Evropu a Spojené státy americké

This master thesis is focused on the Transtlantic Trade and Investment Partnership and its possible impact on the EU and the US. The aim is to examine the economic and geopolitical implications that could come out of this deal. Closer look on this issue should bring a complex overview on the most discussed trade agreement in international relationship in the 21st century. Comparative approach will be used for detail analysis. Thesis deals with the comparison with current state of bilateral trade between EU and US. In more details TTIP negotiations are being described in this thesis as well its basic concept, advantages and disadvantages for both parties and impacts on Europe and US markets.

STUDIE ROZVOJE BROADBANDU V ČESKÉ REPUBLICE

Diplomová práce se zabývá problematikou rozvoje širokopásmového připojení (broadbandu) k Internetu v České republice. Snaží se odpovědět na otázky nízké penetrace domácností Internetem u nás a překážek jejího rozvoje. Práce ve své úvodní části obsahuje analýzu v Česku nejrozšířenějších dostupných možností připojení k Internetu a jednotlivých nabízených služeb včetně formulace nutných podmínek na trhu pro rozvoj broadbandu v ČR. Na tuto analýzu navazuje kapitola trendů v oblasti broadbandu, tedy pohled na plány významných subjektů v Česku i ve světě, na současnou do jisté míry latentní poptávku po službách využívajících broadband infrastrukturu a projektované zákaznické potřeby. Z této analýzy vyplývají důležité závěry, které jsou následně využity pro formulaci doporučení v podobě klíčových faktorů úspěchu firem působících na broadband trhu. Další text práce se rovněž zabývá současným stavem GTS Novera a dívá se i na její veřejně dostupné plány dalšího rozvoje. Načerpané teoretické znalosti jsou následně použity ke zpracování samotného přínosu práce, jímž je case studie zasíťování modelového pražského sídliště broadband infrastrukturou a navržení reálného technicko-ekonomicko-obchodního modelu pro společnost GTS Novera k realizaci byznys plánu v těchto konkrétních podmínkách. Následně jsou tyto výsledky zasazeny do rámce studie návratnosti investice s návrhem nových služeb pro další rozvoj společnosti GTS Novera.

Production of evidence in tax proceedings

EVIDENCE IN TAX PROCEEDINGS Abstract The purpose of the thesis is on one hand to provide an overall view of the issue of burden of proof in tax proceedings. On the other hand the thesis gives a detailed look into unclear and problematic provisions of the Tax Code concerning the burden of proof of tax subjects as well as that of tax administrators. The reason for my analysis is that number of questions related to the burden of proof in tax proceedings are very often matter of disputes between tax subjects and tax administrators which in many cases has to be decided by the Czech Supreme Administrative Court. The thesis is composed of four chapters, each of them dealing with different aspects of evidence. Chapter One is introductory and deals with evidence in proceedings in general. It also defines basic terminology used in the thesis such as evidence, basic principles of process, burden of production or burden of persuasion. The Chapter Two explains specifics of evidence in tax proceedings. Chapter Three deals with the definition of evidence and mentions different types of evidence in tax proceedings. Chapter Four is focused on the key issue of evidence in tax proceedings - the concept of burden of proof. The chapter consists of five parts. The role of ethics and ethical codes in an international company

Diplomová práce se zabývá potřebou uvědomění si nutnosti zavádění a dodržování etických kodexů a významem firemní kultury v moderní společnosti, zejména v ekonomické sféře ? tedy v podnicích a firmách, které jsou z velké části hlavní součástí života většiny lidí a mají tak rozhodující vliv na chování jednotlivce. S využitím konkrétního případu ? společnosti Whirlpool, jako jedné ze společností, které kladou velký důraz na etiku v podnikání a etické kodexy a se zmínkami o společnosti Hilti, která je organizací s jednou z nejsilnějších firemních kultur na světě ? se pokouší analyzovat důležitost nepsaných pravidel, jejich výhody a nevýhody v porovnání se zákony a právním řádem jako takovým. Cílem této práce je poskytnout vedení a zaměstnancům společnosti Whirlpool Česká republika (a nejen jim) praktický pohled na etiku a její význam a případně také poskytnout vhodné argumenty a odpovědi na otázky, které mohou při prosazování a uplatňování etického kodexu ve společnosti vyvstat. Vzhledem k existenci nadnárodně daného etického kodexu v této společnosti (Whirlpool Corporation Ethical Code) jsem shrnula výhody jeho úplného a vhodného využití také na lokální úrovni. Poukázala jsem na předsudek nevhodnosti etického kodexu v měřítku našeho státu, ale právě konkrétním rozborem jsem se ho pokusila vyvrátit.
