This thesis is focused on the ownership of flats in the Czech Republic, which from
1.1. 2014 is governed by Act no. 89/2012 Coll., Civil Code, as amended, focusing on the
specific type of legal entity, which is the apartment owners.
The theoretical part is an analysis of the basic characteristics of the flat owner
association, it describe its main activity, the formation and cessation, the power of
statutory authorities and finally the rights and obligations of its members. This thesis is
focussed on the changes introduced by the new civil code.
The practical part is devoted to the the analysis and evaluation of the survey results with
the objective to find out how the flat owners association works in reality in a specific area.
The focus was on the most frequent problems they face and an indication of the possible
solutions. Further the thesis also points out the most common errors that occur in the
appliocation of the new civil code no. 89/2012 Coll.

Selecting the Appropriate Legal Form for the Amateur Theater Group

The thesis deals with the celection of suitable legal form for amateur theater group. The number of types of organizations, which are evaluated, is after the change of Civil Code quite huge and comprise besides non-profit organizations also border and mixed organizations. The main aim of thesis is to select the legal form, which is because of their characteristics the best for small amateur theater group and then set up an accountig system, which could the organization use. The amateur theater group is part of the Cultural department of the city, funded organization now. The main method is comparsion. Individually legal forms are compared according to valid laws and membership requirements, which is assigned a score. The sub-goals are creation of the code of rules and then set the accounting and taxes system.

Establishment of a joint stock company

This master thesis discusses main characteristics and the process of establishment of joint stock company in the Czech Republic. At first the work analyses the process of establishment of joint stock company through statutes of a joint stock company formation and their mandatory and optional elements. Next part of the thesis deals with the process of creation of the joint stock company by registration to the Commercial Register. The aim of this thesis is to analyse the legislation related to the establishment of joint stock company and to show some general patterns concerning establishment of joint stock company for potential founders.

Impact on Business Corporations Act in accounting and corporate finance

The main goal of this contribution is to assess the impact of changes in legislation in 2014 to accounting and corporate finance of business corporations. Partial objective are then create a draft chart of accounts, exemplars (which point out effect of a change in accounting legislation) and analysis of selected charters of two types of business corporations (joint-stock company, limited liability company) represented by each of five specific companies. Yet another objective is to quantification of the estimated cost to amend the charters / social contracts / incorporation documents.

The Jewish population of the judicial district Sedlec, and their social status until the year 1945 (with a specific heed to the year 1940)

The aim of this propounded thesis has been to elaborate a register of Jewish population in the judicial district Sedlec, and to essay the creation of the reflection of their wealth. The filing cards from the Jews' card files were the primary source, which were enriched by police ordinances and the census from 1930. This thesis is set in the period of the Protectorate of Bohemia and Moravia; therefore, I devoted a chapter to this period, where besides other things I explain the term "Jew" in accordance with the Nuremberg Laws. There is an overview of regulations that restricted the freedom of the Jews, from which the view on curtailing of the hated minority by the Nazis comes. The important part of this piece of work is the description of how the Jewish religious community worked which gives us an insight into the life of this community. Attention was also dedicated to the social structure, including other factors that affect it; hence, this work contains a chapter which provides an overview of the research in this field. Another part is a list of ninety-four people of the Jewish faith or origin formed by communities and families living in them. It is accompanied by a text part which shows the material and financial resources for individual families. The work is enriched by annexes: tables, graphs, maps, and last but not least, some photographs of some slaughtered Jews by the Nazis appearing in the list.

The Statutes of a Joint Stock Company

This thesis discusses comprehensively statutes of a joint stock company. The thesis analyses the mandatory and optional elements of the statutes under the Commercial Code. The aim is not to list all elements that the statutes may include, but to direct potential founder of a company to the necessary provisions of the statutes according to the purpose of the stock company. One part of the thesis deals with the adoption, modification and nullity of the statutes. There are outlined changes in regard to the new Act on Commercial Corporations which comes in force on January 1, 2014 and has an influence on the content of the status. Lastly the thesis drafts the statutes in case of the establishment of a joint stock company. The procedure respects the provisions of the Act on Commercial Corporations too.

The foundation and origin of a joint-stock company

In my bachelor's thesis I deal with the foundation and origin of a joint-stock company. In the first part a historical development of this form of a commercial company is characterized, sources of law related to joint-stock company are listed, characteristic features of a joint-stock company are outlined, essential information is provided about the organs of a joint-stock company as well as about the securities issued by joint-stock companies. In the main body of the thesis the difference between the foundation and the origin of a joint-stock company is described. Both ways of the foundation of a joint-stock company are examined in detail and the content elements of the founding document and the elements of the articles of association are explained. I clarify who is authorized to deal on behalf of the joint-stock company before its registration to the Commercial Register and what are the deadlines within which both monetary and non-monetary deposits are to be paid. The final part is dedicated to the origin of a joint-stock company, the proposal for registration to the Commercial Register, the compulsory documents that must be attached and the the registration process.

Diplomová práce se zabývá stanovami společnosti jako základním právním a organizačním dokumentem akciové společnosti. Za cíl si klade souhrnné zpracování problematiky změn stanov akciové společnosti se zaměřením na proces těchto změn. Tento proces je zpracován tak, aby jeho popis mohl sloužit jako návod k provádění změn stanov akciové společnosti v praxi. Práce k dokreslení problematiky uvádí stručnou charakteristiku akciové společnosti a vymezuje náležitosti stanov a to jak obligatorní, tak fakultativní povahy. Práce se také zabývá vlivem přeměn akciových společností na stanovy a změnu stanov.

Specifika účtování a možnosti financování občanských sdružení

Práce je zaměřena na účetnictví a financování občanských sdružení a skládá se ze dvou částí - obecné a praktické. První kapitola se zabývá právní úpravou občanských sdružení, dále jsou uvedeny možné zdroje financování činnosti občanského sdružení a specifika vyskytující se v účetnictví. S účetnictvím jsou též spojeny daně, které jsou předmětem následující kapitoly. Teorie z obecné části je doplněna praktickou částí, ve které byly použity údaje občanského sdružení Fokus Praha.

Práce objasňuje roli družstva v tržní ekonomice a obhajuje smysluplnost této právní formy. Hodnotí družstvo jako právní formu pro podnikání v České republice a nachází její odlišnosti od obchodních společností. Typický vývoj, kterým u nás družstva jako podnikatelské subjekty za posledních 17 let procházejí, je demonstrován na příkladu výrobního družstva DRUPOL. Základem pro hodnocení se stávají mezinárodní družstevní principy. Práce se také věnuje Evropské družstevní společnosti.
