1 Liability for defective prospectus Abstract The aim of my thesis is to provide a paper that discusses the overall consequences of an issuer who, in connection with public offer of securities or their admission to the trading on regulated market, provide and make public a defective prospectus that contains untrue, incomplete and misleading information. The thesis does not deal with all aspects of the laws of prospectus. Instead, it focus on particular issues in relation to the prospectus. Mainly, it deals with civil liability arising out of the defective prospectus. As a consequence, the other sanctions, eg. administrative or criminal, are not included in the thesis. In my thesis, I consider prospectus as an informative document that ought to provide certain information in order to protect investors. These information must not be untrue, incomplete or misleading so that the high standard of protection to investors is preserved. High standard of investors protection include, inter alia, higher liability attached to a prospectus. Legal regulations governing civil liability attached to a prospectus are not harmonized on the EU level. Equity securities from the point of view of an investor and issuer in the Czech Republic

This bachelor thesis is focused on deeper understanding of equity securities in theory and practice in accounting. The objective is to summarize an accounting methodology by describing the most common examples from the point of view of an issuer and an investor. In order of a correct inclusion is the beginning about basic classification of a security market into its segments and its description. Continued by wider characterisation of functions and rights, that are being established by possession of equity securities. In other words, how and in what way can a proprietorship of equity securities be reflected in accounting. For better understanding is this thesis concluded with practical part, based on financial statement analysis of top 100 Czech companies. The aim is to determine, what is a ratio of each individual valuation methods chosen by selected companies.
Bonds according to Czech accounting regulations

The main goal of this bachelor thesis is to provide complex information essential to correctly account all transactions concerning bonds in Czech accounting environment, particularly from the view of private sector enterprises. It explains in detail the legal form of bonds in Czech Republic, their pertinences and specific categories. It also contains theoretic commentary to accounting cases related to bonds, which a Czech investor or issuer can encounter in their accounting records. The practical solutions to these cases are shown in examples, regarding various types of bonds and in compliance with Czech accounting legislation.

This bachelor thesis focuses on the degree of correlation between the initial public offering (IPO) and changes in macroeconomic indicators on the largest European financial markets. The theoretical part of the thesis specifies the crucial terms related entering the stock market, such as the securities market, investments or different ways of financing the company. At the same time, the process of realizing the IPO itself is described. In further parts, the macroeconomic data of the examined countries and their impact on the decision to enter the stock market are analyzed, where these effects are subsequently evaluated using correlation matrices.

There is the basic definition of the theoretical concepts related to the IPO for example financial market, joint-stock company and IPO. Further the work deals with the analysis of the chosen company by means of analysis of chosen financial indicators and macro economical analysis. Aim of this work is proposal of decision model for the support of decision-making to change the legal form of the company and its IPO. It is basically support of the decision-making, where financial health of the company, macro economical aspects and current situation in the sector are taken into account. Furthermore, there is determined decision model which is used for formulation of main recommendations.

The last part is focused on individual steps of IPO realization. This thesis is focused on evaluation of chosen company’s entry on stock market.
