Set-off without mutuality (compensation ex personae tertii) in business relations Abstract The aim of this thesis is to answer the question whether the statute contains exhaustive or non-exhaustive list of cases in which a person may set-off without mutuality. Accordingly, whether it is possible to negotiate the set-off of claims where mutuality cannot be found. I have done so by analysing selected cases of set-off without mutuality. I have described the cases expressly embodied in the statute, as well as those on which the Supreme Court of the Czech Republic has already ruled. The objective was to uncover the meaning and purpose common to all these exceptions and, with this knowledge, to establish a method that will lead to an answer to the question of whether the set-off without mutuality can be counted in a particular case. The first section of this thesis explains what is meant by the creditor's entitlement to demand satisfaction of his/her own claim. I came to the conclusion that this category includes not only mature claims, but also a case when the time of performance is determined in favour of the creditor [according to the section 1962 (3) of Act No. 89/2012 Sb., the Civil Code]. Good morals in business relations Abstract This thesis explores the concept of good morals in in business relations. Its aim is to contribute to a deeper understanding of the role of good morals in commercial relationships and to provide a comprehensive view of their significance and application in the current Czech legal environment. Through an analytical approach to case law, legislation, and theoretical concepts, it aims to offer a complex analysis of the importance and implementation of good morals in business interactions. Good morals, with a long tradition tracing back to classical Roman law, represent a key moral corrective in legal relationships, evolving through the First Republic and the General Civil Code to the current Civil Code. The work examines how good morals function as a tool for regulating business relationships, focusing on specific cases where the morality of actions between businessmen was subject to judicial review. Hidden distribution of profits and other own resources in business corporations Abstract Hidden distribution of profits and other own resources in business corporations are an unforeseen and undesirable phenomenon under corporate law that can lead to harm not only to the creditors of the business corporation, but also to some, especially minority, shareholders of the business corporation. The subject of this thesis is thus examining how hidden distribution of profits and other own resources in business corporations is approached by the Czech legal system and what consequences are associated with the use of this method of distribution of assets from a business corporation. Until 2021 the Czech legal system did not contain an explicit rule prohibiting hidden distribution of profits and other own resources from business corporations. However, such a prohibition can be inferred from the imperative nature of the legal norms governing the procedure of distribution of profits and other own resources from business corporation and from the general prohibition of circumvention of the law. Business decisions of members of elected bodies and the business judgment rule from the perspective of recent case law in the Czech Republic and Federal Republic of Germany Abstract The thesis focuses on business decisions of members of elected bodies with a focus on statutory bodies of limited liability companies and joint stock companies. It examines them in the perspective of the business judgment rule. The author asks the questions how members of elected bodies must make their business decisions in order to be protected against liability for damage caused by their consequences, and whether the current statutory regulation of the business judgment rule is sufficient or whether an amendment would be needed. In order to answer these questions, the author analyzed the statutory regulation of the business judgment rule and, in particular, the case law of the Czech and German supreme courts. Germany was chosen by the author because its statutory regulation and judicial decisions of the German Federal Court of Justice served as a source of inspiration for Czech legislators and Supreme Court judges. Peristaltic pump control via USB interface

The purpose of this bachelor’s thesis is to practical realization of connection between peristaltic pump Rainin Dynamax RP-1 and PC, using USB interface. Integrated circuit device FT232R has been used in USB-RS422 converter, due to modified RS422 interface, which the pump RP-1 uses. There was also developed software for pump’s remote controll. RP-1’s functions can be driven from remote side or eventually automatized with this software. This work is based on semestral thesis and in future can be used in another aplications with RS422 or with RP-1 pump. Department of Biomedical Engineering, attached to FEEC, Brno University of Technology, will use this remote controll in analysis of DNA.
ECG generator for equipment testing

This diploma thesis is focused on testing ECG monitors and ECG instruments. There are discussed origin and charakteristics of ECG signal. The ECG signal is presented by standard leads. This is the reason, why the way of making leads is mentioned. One chapter is aimed at generating ECG signal. There are set requierements for the ECG generator. These requierements results from ECG instrument possibilities and from ECG signal character. Next part of this diploma thesis includes hardware design of each part of the system. The system was designed with respect to mobility and 12-leads systems compatibility. Finaly the thesis includes design of the controll software.
Doppler blood flow detector

This bachelor's thesis is engage in suggestion of nondirection doppler blood flow detector with unmodulated carrying wave. At first the thesis describes indicator's principle of working and mention the systemic proposal for working frequency and intensity of ultrasound. Later in detail describes individual blocks, which are the detector consist of. At every block of system is mentioned the diagram of connection and values of components, which are ascertained from calculation, simulation and recommendation of producer.
Development of the real estate market in Brno and its surroundings

This diploma thesis deals with the development of the real estate market in selected urban areas of Brno and its surroundings. First of all, it defines the basic terms and definitions that relate to the real estate market and real estate valuation. The development of factors that affect the real estate market is examined. In the next part there is an analysis of the development of realized purchase prices of flats in Brno and also a thorough analysis of the development of average offer prices of flats in Brno and in the cities of Rousínov, Šlapanice and Slavkov u Brna to compare price differences. To compare prices, three basic criteria are set, on which the development is noticeable. The last part of the work presents a comparison and evaluation of realized purchase prices and offer prices of apartments according to selected criteria in selected city districts of Brno in the years 2018-2020.
Model nonlinear effect in ultrasound fields

The main topic of this diploma thesis is the modeling of nonlinear effects in ultrasonic fields. The work deals with application of finite difference method (FDTD) on the Westervelt equation and the subsequent creation of the model of ultrasonic fields in MATLAB. This thesis also includes theoretical analysis of ultra-acoustic and technical aspects of diagnostic ultrasonography. In addition, this document includes verification of theoretical assumptions by using created model.
