Legal issues of providing bank credits

The main objective of this thesis is to map and analyze the legislation that relates to each question of the whole process of providing bank credits, and state the most important changes. The work is divided into six chapters, where each chapter presents the area, which is related to providing of credits and includes analysis and explanation of its legislation. Emphasis is placed on new legislation of the Consumer Credit Act and more attention is also devoted to the exaction of debts and significant amendment of the Law on Arbitration and enforcement of arbitral awards.
Consumer protection in the area of ​​product safety with a focus on toys

This diploma thesis aims to describe the nature and specifics of product safety, as well as analyze the legal background of toys safety and discuss practical aspects related to the toy market. Based on these findings it aims to vindicate the following hypothesis: "Current toy market trends clearly linked with European integration, globalization and technological progress lead to a need to introduce increasingly stringent legislation that would regulate the negative consequences of these trends." The diploma thesis is divided into three parts. The first part describes the theoretical basis of consumer protection in the Czech Republic and the European Union. Sources of legal regulation of consumer law, basic terminology as well as consumer organizations and institutions active in this area are described. The second part deals with the regulation of product safety, while an analysis of three major legislations affecting the product safety is carried out. The third part of this diploma thesis is crucial, while it characterizes the term "toy", analyzes legislation governing toys safety and contains comparison of the current and already invalid Government Regulation on technical requirements for toys. Specific aspects of the toy industry and its current trends are discussed as well as systematic intervention of responsible bodies in case when a dangerous toy is launched.
Consumer deception focused on advertising in the Czech Republic and abroad

The main aim of my thesis is to identify various forms of consumer deception. These include misleading and aggressive practices that consumers encounter in everyday life and which often exceed limits of acceptability regulated by legislation. The thesis emphasises primarily advertising which strongly affects consumer decision-making for buying. Legal means of protection against deception are included in the thesis as well. The deception of consumers in German, Austrian and Spanish legislation is the topic of the final chapter. The thesis is supplemented with practical examples and judicial practice.
Comparison of legal regulations of the joint-stock company and the limited liability company in the Russian Federation and the Czech Republic

The diploma thesis is aimed at the comparison of legal regulations of the joint-stock company and the limited liability company in Russian and Czech law. The comparison of characteristic features takes place in basic provisions, constitution of the company, administrative bodies and dissolution of a company. The last chapter describes trends in enterprise in Russian Federation and current economic situation in this country including recommendations for foreign investors.
The franchise contract - possibility of using in the Czech Republic

This thesis deals with franchising and franchise contract. This work describes the business concept of franchising, its expansion in the world and especially in the Czech Republic. It also discusses the franchise contract legislation, including the negotiation process between the franchisor and franchisee before entering into the contract. Finally, it deals with a detailed description of the provisions of the contract. All this is illustrated in the imaginery franchise chain Lickerish tomcat.
The securities emitted by joint-stock company

In the first chapter of my diploma thesis, I try to show some general patterns concerning the securities and I also deal with the classification of securities and with the question of emitting the securities. In the second chapter, I pay my attention to the theme of shares as basic participant securities and I also try to clarify some other terms such as joint-stock companies, negotiable papers or rights of minority shareholders. In the following part of my thesis, I deal with the theme of interim certificates and I also try to explain the process of their exchanging for shares. In the next chapter, I pay my attention to the theme of additional securities (stock warrants, time warrants). In the semi-final chapter of my thesis, I deal with the theme of bonds (priority bonds, exchangeable bonds, mortgage debenture bonds). In the last part of my thesis, I try to compare the current legal form (concerning the securities) to that which shall come into force by 1. 1. 2014.
The performace of function of a member of the board of directors in the joint stock company

The bachelor thesis concerns with the performance of function of a member of the board of directors in the joint stock company. Chapters about commencement and termination of function and its prerequisites follow after a brief characterization of the joint stock company. The crucial part is dedicated to rights and duties arising from this function, including remuneration. The attention is also focused on liability for breaching duties of the member. Legislation is compared with practice of the courts. A special chapter deals with changes from January 1, 2014 connected with Companies Act.
Concurrence of functions – history, development and problems of past and current legal regulations

According to the jurisdiction statutory representatives of companies, executives or members of Boards of Directors, cannot simultaneously be employed in the company on a position with a similar capacity. This problem has been discussed in the Czech Republic since 1993 when the first decision was held. In 2010 Supreme Administrative Court confirmed this statement and impugned the validity of health and pension insurance of this employee. The long-ignored problem has caused panic because the concurrence of functions is an issue for 80-90% of Czech companies and therefore the Ministry of Justice of the Czech Republic has initiated a legislative solution to this problem and prepared an amendment to the Commercial Code which allows the concurrence of functions.
International sales contract - instruments of regulation

The essay focuses on the issue of the international regulation of international sales contracts. It analyses the United Nations Convention for the International Sale of Goods and documents published by the International Chamber of Commerce and by other organisations active in harmonisation and unification of instruments of regulation of international sales contracts. So, the goal of the essay is to decide whether the documents help to remove the barriers of the international trade and whether the documents do not overlap the Convention.
The protection of a consumer in consumer contracts

The diploma thesis deals with the protection of a consumer in consumer contracts with the fact that it is based on Czech law as well as on European Union legislation, because there are directions, which had to be implemented into the legal order of the Czech Republic. First of all I deal with basic characteristic of the legal regulation of consumer protection and its sources. The issue of consumer contracts is divided into three parts. The first one is just about contracts and rules, which determine all consumer contracts. The second part describes specific types of consumer contracts and finally I outlined perspective of a next development of this problem. I also try to focus on European aspect of regulation of consumer contracts and I found out, that Czech lawmaker has got a massive lack of knowledge in the implementation.
