Resumé v anglickém jazyce / Résumé in English: Liquidation of a company is important condition for its dissolution. Liquidation occurs on the basis of legal facts, which are listed in the law. Czech law allows the company to liquidate company through two modalities of liquidation: with the liquidation and without liquidation. Without going into liquidation, the company is terminated, if transferred its assets to its legal successor, in other cases liquidation of assets is required. The bankruptcy is not involved into manners of liquidation. It is the legal fact, on which company has to be liquidate - the company is liquidated by termination of bankruptcy because of bankruptcy plan was to be realized or by termination of bankruptcy because of total insufficiency of debtors' property. Vývoj práva je výrazně ovlivněn harmonizací právních předpisů. Právní řády hledají společné principy a jako nevyhnutelné se jeví vytváření právních mostů mezi nimi. Zejména v právu obchodních společností, které se díky politice Evropské unie často mění, musí jednotlivé státy na tyto změny pružně reagovat. Komparace právních řádů okolních států, jejich zkoumání a rozbor se jeví jako velmi užitečné. Umožňuje identifikovat reformní směry jednotlivých zemí a odhadnout, čemu by se právní úprava měla přizpůsobit, respektive na co by se měla připravit a zároveň pomůže identifikovat stupeň sledování evropských tendencí. Pro porovnávání jsou nesmírně důležitá i historická východiska jednotlivých právních úprav, posouzení jejich kontinuitního, respektive diskontinuitního vývoje a rozbor důvodů, které k jednotlivým reformám v právní úpravě vedly. 71 Resumé In my diploma thesis I tried to find out the possible development of sales in Czech and European area. As we can see, legal adjustment of commercial sale and obligations has been changing in a huge development. Present legal adjustment without any doubt will get more changed. By cancelling the dualism of obligations, the legal adjustment of sales will get changed. The new adjustement is influenced by the politic situation, there is even a tendency to put off the code and start creating a new one (using the used materia). Not concerning the conceptual changes that will be the logical consequences caused by acceptation of new Czech Civil Code, I do have doubts about the mutual possible existation of both codifications, I work with in my thesis. I mean the new Czech Civil Code and the Draft of Common Frame of Reference. Although academic works in the area of CFR are characterised by considerable comparatistic (especially in the area of particular states law), I am afraid of minimum influence of CFR to the new Civil Code. Nevertheless it is premature to do any conclusions. It is always posibble to upgrade the existing Civil Code with the Draft. Resume Registered capital of a capital company and its creation and protection The dissertation work deals with one of the most important institutes of contemporary company law which is registered capital of a capital company and its creation and protection. The institute of registered capital has developed in historical consequences and still develops. The ideas of the registered capital of a joint stock company and its creation and protection as well as the ideas of functions which registered capital should undertake inside and outside the company and principles which should be followed for this purpose have stabilized within the European (continental) legal culture in an opinion scheme which can be generally called "a doctrine about a creation and maintenance of registered capital". The principles undertaken by this doctrine are anchored in the laws of the countries of the European (continental) legal culture mainly by cogent rules of law. The aforesaid doctrine has been a subject of polemic at the experts level and there has long time been an endeavour about a revision of this relatively stable system with reference to its imperfections. Companies are forms for doing business and represent very important component for human life. Directors in the limited liability company hold an pivotal capacity in the company and have the fundamental power to organize and run the company. The directors are statutory body, so they act on behalf of the comany and they binds the company. Law gives the directors a lot of powers but says, that they must observes their duties. If the directors break their duties, they are liable to the company for the damage, which they have caused. The thesis deal with the legal regulation of the status of the directors in the limited liability company. It is very wide topic so I especially focused on discretions and duties, which are a base for status of the directors. This topic contain a lot of disputed provisions of law referred to the directors, which are debated by legal experts. At each problem I stated opinions of this legal experts and I strove to give a reasonable solution. COMPARISON OF THE LEGAL ADJUSTMENT OF THE GENERAL PARTNERSHIP IN THE CZECH AND GERMAN LEGAL SYSTEMS Abstract: The purpose of my thesis is to analyse the differences and similarities between the general partnership in the Czech and German legal system. The reason for my research is to identify the differences and the similarities between the two companies mentioned above to demonstrate how the laws and legal adjustments in different countries of the European Union are. The thesis is composed of an introduction, seven chapters and a conclusion, each of them dealing with different aspects of the legal adjustment of the general partnership (hereinafter referred to as "partnership"). The introduction defines the basic terminology used in the thesis: history, company of private law, legal personality, legal characteristics and definition of the partnership, foundation and formation of the partnership, the rights and duties of the partners and the governing of the partnership.
