67 English Summary Title: Rules of Conduct of an Investment Firm towards Customers Summary: The purpose of my thesis is to analyse Czech legal regulation of business activities on capital market with focus on rules of conduct of an investment firm towards customers (henceforth only as "rules of conduct"). The reason for my research is that this regulation has been modified recently due to implementation of the EU directive on markets in financial instruments (so called MiFID. Therefore this topic is currently actual in this field of business. At the same time it is interesting to observe this special regulation on the background of general legal regulation especially regulation set up in Czech Commercial Code (but not only in this codex). The thesis is composed of nine chapters, each of them dealing with different aspects of rules of conduct structured in chronological order. Chapter One is introductory and defines purpose and methodology of the thesis. In Chapter Two there is an entrance to the subject matter itself from historical and theological points of view. Comparison of the legal regulaltion of residential cooperatives and unit owners' assotiations

This thesis deals with two legal forms of housing. These are residential cooperatives and unit owners' associations. The thesis deals with these two forms advisedly. The text will be divided into several parts - at first the historical process of both forms because it's routes influent the contemporary legal framework, the description and the analysis of both forms, the analysis of basic topics with implemented decisions of czech courts. The main method is the comparative method which is very proper and it shows points of views how to compare these two topics. The intention of the thesis is to analyse and compare the contemporary legal framework of residential cooperatives with unit owners' associations.
Legal Acts in the Name of an Entrepreneur

The thesis deals with an acting on behalf of legal entity. Its aim is not to produce a comprehensive elaboration on the subject matter but to focus on judicial decisions of the higher courts with an effort to fill in gaps in legislation and to clarify dubious parts of the legal text. Chapter One is introductory and defines basic institutes used in the thesis such as management of the company, acting on behalf of legal entity and decision-making. Chapter Two examines an acting on behalf of the corporation by its corporate agent, a set manner of acting, its limitation and consequences of a concurrence of the agents. The chapter briefly mentions an acting in the name of a company before its incorporation and some aspects of powers of a proctor. Chapter Three concentrates on a representation of a legal entity with focus on a substantive representation. In its beginning, there is a brief characterization of a statutory representation and a representation under the power of attorney.
