In my work I deal with the statutory bodies of the Limited Liability Company and Joint-Stock Company. The agent and the board play in the above mentioned companies an irreplaceable role. On one side they act on behalf of the company, on the other side they direct the day-to-day activities of the company. My work is divided into seven chapters, in which are subsequently mentioned all the important circumstances concerning the legal status of the statutory body in the given companies, together with the discretions and duties resulting from the discharge of their office. Generally gives the work an exhaustive overview of the legal status of the statutory bodies in the given companies.

Legal aspects of the position of partner in the limited liability company

The diploma thesis describes the position of partner (member) in the limited liability company in the Czech Republic. First of all I analyzed the basic characteristics of the limited liability company including the historical development. Then I focused on its partners (members), I described who can become a partner, how and under what circumstances. Special attention was paid to the capital contribution and the business share. The most important part of the diploma thesis focuses on the legal aspects of partner's rights and obligations. I pointed out the advantages of being a partner (such as not being liable for the company's debts) as well as disadvantages. Various ways of leaving the company are briefly covered in the last chapter.

The thesis is focused on a member's ownership interest in a limited liability company. First part of the thesis is providing basic information about institutes of limited liability company such as creation and incorporation and statutory body. The main aim of the thesis offers the view on the member's ownership interest in a limited liability company and the possible disposal. At the end are mentioned the contemporary trends relevant to limited liability company.

Member's ownership interest in a limited liability company

The thesis focuses on a member's ownership interest in a limited liability company. In the introduction, we provide an outline of the basic institutes of a limited liability company such as its incorporation and creation, composing of memorandum of association, the way of member's liability etc. Then we define the legal nature of an ownership interest as another property value. The main stress is put particularly on a member's rights and obligations arising from the ownership of his/her interest, and on different changes of members. To illustrate the issues described in the thesis, we also provide relevant judgments rendered by Czech courts in appellate and appellate review proceedings related to ownership interests in limited liability companies.

Comparison of Business in Czech and Slovak Republic

Práce se zabývá srovnáním podnikání v České a Slovenské republice se zaměřením hlavně na právnické osoby. Výklad je pro názornost doplněn o výpočty. První kapitoly se věnují charakteristice jednotlivých pojmů obchodního práva, s nimiž je potom dále operováno. Druhá kapitola zvlášť vysvětluje jednání podnikatele, třetí se zaměřuje na obchodní společnosti se zahraniční majetkovou účastí, další na obchodní rejstřík a komparaci zápisu do něj. V páté a šesté kapitole se již dostáváme k samotným obchodním společnostem ? a sice k jejich založení a vzniku a zrušení a zániku. Sedmá kapitola sleduje české i slovenské společnosti z účetního pohledu, osmá pak z daňového. Dále jsou analyzovány personální náklady, desátá kapitola popisuje podporu malých a středních podnikatelů v obou zemích. V posledních kapitolách porovnáme výhody a nevýhody dřívějšího vstupu Slovenské republiky do Eurozóny a provedeme komparaci konkurenceschopnosti dle několika kritérií.

Trade business in Czech Republic

The subject of my work was to describe czech trade law. I started with decription of development of existing laws and rules of trade business. In the second chapter I determined basic and conjointed terms as trade and attributes of the trade. Later I dealed with the main code, which is concerned with regulation of trade business in Czech Republic and I focussed on the trade licence. At the end of my work I reviewed and assessed current practice in this field.

Právní postavení jednatele společnosti s ručením omezeným

Práce se zabývá problematikou související s funkcí jednatele. Nejprve podrobně charakterizuje společnost s ručením omezeným a posléze pojednává o postavení jednatele. Zejména se zaměřuje na jeho práva, povinnosti a odpovědnost. V kapitole věnované právům rozebírá práva nároková i nenároková. Povinnostmi jednatele se zabývá jak v rovině obecné, např. péčí řádného hospodáře, tak i konkrétně, např. svolávání valné hromady. Kapitola, týkající se odpovědnosti, je členěna na oddíly týkající se odpovědnosti vůči společnosti, vůči společníkům a vůči třetím osobám. Cílem práce je poskytnout čtenáři základní přehled o tom, co výkon funkce jednatele obnáší.
