Proceedings in Commercial Register Matters Abstract The topic of this diploma thesis is the proceedings in commercial register matters, i.e. proceedings before civil courts on the entries of legally relevant facts in the commercial register. The commercial register is an important institute, especially for business relations involving entrepreneurs, which ensures the transparency of the entrepreneur through the registration of their relevant information and further makes such information publicly available to third parties. In addition to the option of contacting a notary, it is also possible to achieve the required registration in the commercial register through legal proceedings before the civil (so-called register) courts that decide on them. The ambition of this thesis is to describe, analyse and critically evaluate the existing legal regulation of proceedings in commercial register matters, or the current legal status of its important institutes, as well as to point out controversial issues and outline their possible solutions. Furthermore, the aim is to continuously identify the shortcomings of the existing legislation and to prepare the possibilities of their solution. The Role of The Commercial Register in The Commercial Law

The aim of this diploma thesis is to analyse the substantial and procedural legal regulation of the Commercial Register in the Czech Republic briefly though coherently and to clarify the most important principles, fundamentals and proceedings that are binding for the Commercial Register. Firstly I will introduce the Commercial Register in general and clear up the term "principle of publicity". Further I will focuse on the registered subjects and information and I will look closer on the Collection of Documents. The following chapters present the Commercial Register proceeding and the selected datas that may cause problems during the Commercial Register entry. At the end of my thesis I will try to introduce some proposals that could be helpful for the correction of some failures of the contemporary Commercial Code.

The Process of Forming a Private Limited Liability Company

The purpose of this dissertation is to describe the process of forming a private limited liability company (private L.L.C. or private LLC), which is the most common form of a legal business entity. The first part focuses on the general characteristics of a private LLC and summarizes the advantages and disadvantages of this form of legal entity. Next, the Commercial Register and a description of its benefits will be introduced during the "establishing process," which also explains the necessary behaviours, conditions, documents and steps one must take and the obstacles one might encounter while establishing the company. For a clearer understanding, I will illustrate the process with an existing company and I will try to calculate its costs. Finally, I will include other possibilities of forming a private LLC using the "purchase intermediary," i.e., a third party that handles the forming of the company for the purpose of its resale.

Register of Companies in the Czech Republic

The bachelor thesis deals with legal form of Register of Companies in the Czech Republic. The main aim of this thesis is to define Register of Companies, its material and procedural legal form. In introductory chapter the fundamental terms related to Register of Companies and also the main principles are specified. The main part of the thesis enlarges the development of Register of Companies from The Middle Ages to current legal form and also devotes the proceedings of Register of Companies with concept for its improvement. The conclusion of the thesis submits the instructions on how to gain the statement of Register of Companies as simple as possible.
