The first chapter is an introduction to due diligence . The second chapter is dedicated to international mergers and acquisitions. The third chapter explains due diligence in practice and the fourth chapter analyses benefits and risks of M&A.
Cross-border mergers in European law

The task of my thesis was to introduce the process of cross-border mergers in European Union law. The aim of the thesis was to provide an overview of how cross-border mergers work and to bring to potential readers a view on the issue of cross-border mergers according to European legislation. The work is primarily devoted to analysis of the European Parliament and Council No. 2005/56/EC, which is one of the cornerstones for this issue.
Foreign mergers in the Czech Republic

In my work I will deal with mergers of companies in the Czech Republic in 2000-2008. I will concentrate on the share of foreign mergers and try to find out whether the year 2004, when the Czech Republic joined the EU, had an influence on the change of the number of foreign mergers. Then I will devide them according to the classification "OKEČ". In my analytical part I will use the date from the collection of statistics and decisions of "ÚOHS". I will describe the process of approving the mergers and the benefits that lead to business connections. I will mention the most important mergers, which have been realised in the Czech Republic in recent years.
European Company

The main aim of European economic integration is to reach the common market of goods, services, persons and capital. To make this aim easier to realize in terms of free movement of capital, European Commission has created the statute of the European company (Societas Europaea, SE) as a new institute and corporate vehicle on the supranational level. The paper offers information about creation of the European company according to Comunitary and Czech national law and its corporate structure and mentions several concrete cases of company creation or transformation. The end of the study is dedicated to an analysis of the current usage of European company and advantages and disadvantages of this legal form of trading company together with a summary of current experience with the existence of European company and with the possible future of transnational companies within European Union.
