Corporate social responsibility of limited companies and its impact on the standard of due managerial care

In my master's thesis I focus on the corporate social responsibility (CSR) within a joint stock company and a limited liability company. The aim of this paper is to define the CSR and to find out the ways in which corporate social responsibility displays in the company. Displays of the CSR are described on the most widespread company in the world - join stock company. This thesis composes of four chapters. The first chapter focuses on the development of corporate social responsibility and on its minuses and pluses for the company. The next chapter attempts to define the purpose and the interest of the company. In general, we can say that the joint stock company is found for the entrepreneurial purpose and its main task is to produce a profit to its founders. However, that does not mean that such purpose is the only possible purpose of the company. Regarding interest of the company, this thesis analyses the most fundamental approaches to this topic and the approach which the Czech company law uphold regarding this matter. The third chapter focuses on the obligation of joint stock company's governing body to act according to the duty of care. A Legal Entity as a Member of the Governing Body of a Limited Company

This diploma thesis deals with the institute of the membership of a legal entity performing the office of a governing body's member of a limited company. Since the New Civil Code and the Law on Commercial Corporations have entered into force, this very institute was given formed, however not full-range, legal framework. The thesis is divided into seven chapters. The opening part outlines the basic issues of the thesis, linked to the conception of a legal entity due to the theory of fiction. The second chapter is dedicated to the conditions that have to be fulfilled by the legal entity as well as its representative for the performance of the office of a governing body of a limited company. The third chapter analyses in detail the way of the representation of the legal entity performing the office of a governing body's member, with regard to the disputable questions in particular, such as the scope of a representative's competence, substitute representation and the matter of the joint statutory body. Within the fourth chapter, the attention is paid to responsibilities linked to the performance of the office by a legal entity, especially to the duty to perform such office with the duty of care, as well as the matter of the conflict of interests. Limity liability company in legislation and practice Czech Republic

This thesis deals with a limited liability company in the practice of the Czech Republic. Theoretical solutions are focused on the legislation under which Ltd. Czech modified. Examined the legislation before recodification and also following treatment. Attention is paid to the establishment and creation of the company. The practical part contains the characteristics of the two entities and the analysis of their costs associated with the formation and establishment of the Company. The amount of expenses is captured at two different times and under different laws. Based on the obtained data are calculated costs and evaluates development costs, which are necessary for s.r.o.. As outputs for evaluation of the development costs are used in tables and graphs are available for this event as the most appropriate representation. In conclusion, the results will be evaluated and will be designed to any measures or recommendations.
Advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies

The goal of this work is to provide an overview of the main advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies. The attention is paid to Partnership, Limited Partnership, Limited Liability Company and Joint-Stock Company. The main intention is reached by the comparison of the fundamental characteristics of the companies which are mentioned above. Each chapter describes certain comparable factor which reveals the most important differences of each form of the company. I have tried to suggest possible pros and cons which are connected with them. The whole overview of the characteristics, advantages and disadvantages is presented in the attachements.
