Financial market and its legal aspects

The master's thesis on the topic of financial market and its legal aspects aims to analyse the weaknesses in the legal regulation of markets in financial instruments. The thesis is divided into six chapters, introduction and conclusion. The chapters are divided into subchapters. The first chapter defines the financial market and deals with its divisions. Since the legal aspects of financial market are a traditional subject of the study of financial law, the basic concepts of this field are notoriously well known. The first chapter therefore describes only the basic division that is applied to the financial markets. It then goes on to compare existing definition of the financial markets that can be found in academic literature. The second chapter discusses the capital market participants. As certain concepts of financial market might suggest, many different persons might fall into the category of market participants. This chapter, however, discusses selected persons who provide their services on the market in financial instruments. It focuses mainly on investment firm because it provides investors with access to the capital market. The third chapter discusses financial instruments. Introduced into the laws of all the Member States many new applications and employed a large number of companies. The content of this work is to first clarify the concept of a universal bank, the bank and the reason why the Directive applies to them. Furthermore, analysis of specific activities and procedures, which are due to the introduction of the Directive into law occurred mainly by retail investors, the current clients of universal bank. Most attention is devoted to investor protection, mainly test the appropriateness and suitability, performance instructions for the customer. The following chapter is devoted to issues of organizational changes, the new rules required. Part of the text is devoted to the transposition process in individual countries and especially in the Czech Republic. Regulation of Derivatives Contracts

This diploma thesis deals with the legal regulation of derivatives contracts with respect to their economic nature. It provides a detailed view on the legislation regulating derivatives contracts in the legal order of the Czech Republic. Considering the interconnection of local derivatives markets, this diploma thesis pays attention to the legal regulation and standardization of derivatives contracts in foreign countries and at the international level. The first part of this thesis describes basic features of derivatives and proposes their typology. The aim of the following part is to evaluate the contemporary legal regulation of derivatives contracts in the Czech Republic. The rest of this thesis elaborates on foreign and international legal regulation of derivatives contracts. The main goal of this diploma thesis is to evaluate present the state of the regulation of derivatives contracts in the Czech Republic, asses to what degree it reflects their economic nature, and eventually, propose legal changes.
Impact of european legislation on the czech financial market

The thesis is focused on European markets financial instruments directives effective for czech financial market and is divided into three main parts -- a summary of european legislation in the financial markets field, evaluation of the impact of MiFID on the czech financial market and assumption for passing MiFID II with assessing whether new legislation needed. The thesis contains assessments of formation, progress and impact of European law on czech financial market. Evaluation of impacts is not just a description, but the real assessment of impact based on quantitative indicators. Recommendations concerning adoption of a new legislation proceed from lacks and issues found out on czech financial market.

The thesis is divided into three logical units, which describe the legal framework for investment operation, a description of processes related to investment and design of specifications document for the creation of the instrument.
Treasury within Commercial Banking

This thesis focuses on internal aspects of the Treasury Department related to commercial banking. It includes analysis of total and various revenue types with a graphical illustration of developments in the monthly records from 2006-2010. The goal is to evaluate the function of the Treasury and comprehensively analyze the different types of revenue showing their contribution to total revenues. The work also includes a brief justification of the significant fluctuations of total and various types of revenue. The conclusion not only provides a comprehensive summary and assessment of the Treasury Department using the overall development of individual groups of revenue, but it tries to draw attention to the possibility of predicting Treasury fluctuations and the individual types of revenue in the future and tries to point to possible opportunities for analytical and practical methods.
