Licensed Trades in the Czech Republic

The objective of the thesis was a basic characteristic of licensed trades in the Czech Republic. The thesis deals with the historical evolution of the trade law, it also defines the basic concepts and institutes of trade activities, as subjects of trade law, trade licence, conditions of licensed trades etc. The part of thesis is focused on state control of licensed trades. I described legal regulation, public authorities, which exercise it, control process and the others, which relate to this control. In conclusion I compared statistics of three Trade Licence Offices refered to kontrol of licensed trades.
Licensed Trades in the Czech Republic

The thesis focuses on the current situation of legal regulation of small trades in the Czech Republic, in particular on the impacts following the so far latest of the more complex amendments of the trade law, implemented by the Act no. 130/2008 Coll. The sense of this amendment was to simplify the starting of trade activities and in maximal degree ease the bureacratic burden of businessmen in their contacts with Trade Licencing Offices. The most important changes brought by this amendment are described in the succession and context of the Trades Licencing Act content as a whole. The thesis deals with the historical evolution of the trade law,it also defines the basic concepts and institutes of trade activities, as subjects of trade law, trade licence, the Trades Register, Trade Licence Offices etc. The last part of the thesis delivers the results of a survey carried out among the traders and Trade Licence Offices.
Advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies

The goal of this work is to provide an overview of the main advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies. The attention is paid to Partnership, Limited Partnership, Limited Liability Company and Joint-Stock Company. The main intention is reached by the comparison of the fundamental characteristics of the companies which are mentioned above. Each chapter describes certain comparable factor which reveals the most important differences of each form of the company. I have tried to suggest possible pros and cons which are connected with them. The whole overview of the characteristics, advantages and disadvantages is presented in the attachements.
The Liability for Damage in the Commercial Law

The bachelor thesis deals with problems of the liability for damage in the Czech commercial law. The main aim of this thesis is to provide well-arranged information about the liability for damage in the Czech commercial law. At the beginning there is the definition of the liability and in the following part there is the explanation of the liability according to the Civil Code and Commercial Code. This part of the thesis includes the general and special legal regulations and also the noncontractual liability. The conclusion of the thesis is devoted to the examination of the causality and the example of the liability insurance of the private limited liability company.
Register of Companies in the Czech Republic

The bachelor thesis deals with legal form of Register of Companies in the Czech Republic. The main aim of this thesis is to define Register of Companies, its material and procedural legal form. In introductory chapter the fundamental terms related to Register of Companies and also the main principles are specified. The main part of the thesis enlarges the development of Register of Companies from The Middle Ages to current legal form and also devotes the proceedings of Register of Companies with concept for its improvement. The conclusion of the thesis submits the instructions on how to gain the statement of Register of Companies as simple as possible.
Foundation and creation of a limited liability company

The first part of this thesis describes the limited liability company, its advantages and disadvantages and it is explained why this company form is so popular. The second part deals in detail with the process of foundation and the subsequent creation of a limited liability company. Emphasis is placed on the founders of the company and the conditions they must meet. At the end of the thesis there is given a practical example of a particular creation of a limited liability company.
Foundation and Origin of a Limited Partnership

It is very popular to enter a market as an entrepreneur in the Czech Republic today. A person should be knowledgeable about the Czech law and decide whether s/he intends to carry business either as a sole proprietor or as a corporation. This bachelor's work provides the information and advice how to start, when a business organization, concretely a limited partnership/Ltd., is going to be founded. There are going to be explained concrete steps that lead to a foundation and origin of a limited partnership in this work. Founders of a business organization need to form the Articles of Partnership at the beginning. They should also find suitable premises for their future corporation. The next step that is important to do is to get an entrepreneurial licence for that activity that the corporation will carry on. One of the most important steps to establish a company is to file a proposal for the incorporation of the business into the Register of Companies. When the business is registered in the Register of Companies, then it can perform its entrepreneurial activity according to the incorporation act. In case of a limited partnership/Ltd. the co-partner who is bound to a deposit duty should pay up his deposit as soon as possible after the business is incorporated. After reading the above instructions the reader may think that the establishment and origin of a company is quite easy. I hope s/he will recognize that it is necessary to be well informed about legal procedures for establishment of a business at the end of this bachelor's work. The mere existence of a company itself is not sufficient. The business must find its customers and reach its target. For that reason it is essential to create an entrepreneurial plan and a marketing strategy for a concrete company. Thus, an entrepreneur should combine the knowledge of law and economics if s/he wants to be successful in the market.
Winding up of the commercial company

I have my thesis dividend into two parts. In the first part (theory) I tried to draw up the legal background of the winding up of the commercial company, then I aimed to general aspects of the winding up with liquidation (general reasons for winding up, liquidator, insolvency proceeding), specifics of the winding up with liquidation appertaining to particular type of commercial company and finally I described the winding up of the company with the legal successor (legal forms of conversions). In the second part I made up an imaginary limited lability company (I couldn't get any real dates from the existing company because they are all subject of business secret) and tried to illustrate the process of winding up of the company with liquidation. I put emphasis on particular steps of liquidator and the formal standpoints of the liquidation process.

The purpose of this dissertation is to reveal advantages and disadvantages of the national forms of entrepreneurship according to the valid legal regulations in the Czech Republic. All facts are supported by practical skills and in conclusion all practical and theoretical information is summarised. The goal of this thesis is to simplify and to structure the issue in a well-arranged way and to draw a conclusion based on both practical and theoretical knowing.
